i <br /> DUPLICATE ORIGINAL <br /> FIRST AMENDMENT TO LICENSE AGREEMENT <br /> BETWEEN <br /> THE CITY OF REDWOOD CITY <br /> AND <br /> SILICON VALLEY CLEAN WATER <br /> This First Amendment to License Agreement (this "Amendment") made and <br /> entered into as of , 2014 ("Effective Date") by and between the CITY <br /> OF REDWOOD CI ("City") and the SILICON VALLEY CLEAN WATER <br /> (previously referred to as the South Bayside System Authority) ("Authority") bears the <br /> following recitals. The Authority and the City are sometimes collectively referred to <br /> herein as the "parties" and individually as a"party." <br /> RECITALS <br /> A. On August 13, 2013, the South Bayside System Authority (presently <br /> referred to as the Silicon Valley Clean Water) and the City entered into that certain <br /> License Agreement between the City of Redwood City and the South Bayside System <br /> Authority, from August 1, 2013 to September 16, 2014 ("License"). <br /> B. The parties now desire to extend the license term as set forth below. <br /> NOW THEREFORE, in consideration of the foregoing Recitals and for other <br /> good and valuable consideration, the receipt and adequacy of which are hereby <br /> acknowledged, the parties hereby agree as follows: <br /> 1. Extension of Term. The Term of the License as set forth in Section 4 <br /> thereof is hereby extended for an additional five (5) month period ("Extension Term") <br /> commencing on September 17, 2014 and expiring on February 17, 2015. <br /> 2. Capitalized Terms. Capitalized terms not otherwise defined herein shall <br /> have the meanings ascribed to such terms in the Lease. <br /> 3. License in Effect. The Authority and the City acknowledge and agree that <br /> the License, except as amended by this Amendment, remains in full force and effect in <br /> accordance with its terms. <br /> 4. Conflicting Terms.
