ORIGINAL <br />AMENDMENT NO. 4 TO EXTEND AND AMEND AGREEMENT FOR <br />PROFESSIONAL SERVICES <br />(Neal Martin & Associates) <br />This Amendment No. 4 is entered into and effective as of <br />2017, extending and amending the agreement dated February 4, 2014 (the "Original <br />Agreement") by and between the City of Redwood City, a charter city and municipal <br />corporation of the State of California ("City"), and Neal Martin & Associates, <br />("Consultant") (collectively, the "Parties") for contract staffing in the Planning Division. <br />RECITALS <br />A. On February 4, 2014, the Parties executed the Original Agreement; and <br />B. On July 22, 2014, the Parties executed Amendment No. 1 to Extend and <br />Amend Agreement for Professional Services ("Amendment No. 1 "); and <br />C. On November 17, 2014, the Parties executed Amendment No. 2 to Extend <br />and Amend Agreement for Professional Services ("Amendment No. 2"); and <br />D. On April 28, 2016, the Parties executed Amendment No. 3 to Extend and <br />Amend Agreement for Professional Services ("Amendment No. 3") (the Original <br />Agreement, Amendment No. 1, Amendment No. 2, and Amendment No. 3 are referred <br />to collectively as the "Agreement"); and <br />The Parties have negotiated and agreed to amendments attached to and <br />incorporated in by reference as Exhibit "A," Scope of Services and Fee. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. The Agreement is hereby extended for a period of approximately two <br />years ending on July 1, 2019. <br />2. In addition to those services contained in the Agreement, Consultant will <br />provide those services described in Exhibit "A." With this Amendment, the total <br />Agreement amount shall not exceed Nine Hundred Ninety Three Thousand and Nine <br />Hundred Ninety Five Dollars ($993,995). <br />3. City will pay Consultant for all work associated with those services <br />described in Exhibit "A" on a time and materials basis not -to -exceed Three Hundred <br />Thirty Thousand Dollars ($330,000), for an aggregate amount of ($993,995). Consultant <br />will provide City, on a monthly basis, copies of invoices sufficiently detailed to include <br />hours performed, hourly rates, and related activities and costs for approval by City. <br />4.
