01/27/2014 <br /> with any modifications thereof as may be approved a Designated Officer, with the <br /> advice and approval of the City Attorney, whose execution thereof shall be <br /> conclusive evidence of the approval of any such modifications. A Designated <br /> Officer is hereby authorized and directed to executed the final form of the <br /> Continuing Disclosure Certificate for and on behalf of the City. <br /> Section 4. Official Actions. The Mayor, the City Manager, the Finance <br /> Director, City Clerk, City Attorney and their duly authorized deputies, designees <br /> or agents are each hereby authorized and directed, in their respective official <br /> capacities, to execute or attest thereto, any and all financial instruments, <br /> warrants, agreements and other financing documents, necessary or appropriate <br /> to effectuate the purposes of the Financing Agreement and the issuance of the <br /> 2014 Bonds by the Authority. <br /> Section 5. Effective Date.
