Intellectual Property: By signing below,Legal Aid Society of San Mateo County,Fair Oaks Community Center City of Redwood City and S�licon Valley Gommunity Foundation agree that all copyright and other interests in materials produced as a result of this grant shall be owned by the grantee organizarion. To ensure the widest possible distribution of such materials and ensure that they enter and remain in the public domain, the grantee organization and any individuals who may have some interest hereby grant to the City of Redwood City and the Foundation a non-exclusive, transferable, perpetual, irrevocable, royalty free, paid-up worldwide license to use or publish the materials or other work products arising out of or resulting from Grantee's use of the gtant funds and any earnings thereon, including all intellectual property rights, and to sublicense to third parties the rights described herein. Grantee, at Foundation's request, agrees to execute any additional documents required to effect such license. Hold Harmless Grantee hereby irrevocably and unconditionally agrees, to the fullest extent permitted by law, to defend, indemnify and hold harmless the City of Redwood City, Fair Oaks Community Center of Redwood City, and the cammunity foundation, their officers, directors, trustees, employees, and agents from and against any and all claims, liabilities, losses and expenses(including reasonable attorney's fees)directly,indirectly, wholly or partially arising from ar in connection with the grant,the application af funds furnished pursuant to the grant,the program or project funded or financed by the grant or in any way relating to the subject of this Agreement.This paragraph shall survive the terminarion of this Agreement. By signing below, Legal Aid Society of San Mateo County also acknowledges that the references to the Legal Aid Society and the provision of services relating to the prevention of homelessness in the proposal submitted by the City and the grant agreement between the Ciry of Redwood Ciry and Silicon Valley Community Foundation detailing the purpose(s) of the grant,including what activities are supported by this grant, together with this Agreement constitutes the Agreement between the City of Redwood City and the Lega1 Aid Society of San Mateo County. Your signature indicates your agreement to provide the services and comply with the requirements in the agreement between the City of Redwood City and Silicon Valley Community Foundation as pertains to the prevention of homeless ness and also your intentian to participate, as needed, in a peer learning cohort and evaluation activities, and authorizes the communiry foundation to post the proposal narrative on its website.Please inform the City of Redwood City if there are changes in agency personnel who are important to the administration of the grant, or if the grant funds cannot be expended for the purpose or in the time period described in the proposal so that we can make proper notification with the community foundation. Grantee may not use the funds in any way other than as described in the proposal unless the grantee receives written permission from the community foundation. Grantee shall repay to Silicon Valley Community Foundation any portion of the amount granted that is not used for the purpase of this grant.
