The LIBRE and the Legal Aid Saciety of San Mateo County will defend, indemnify and hold <br /> harmless the CITY and its officers, agents, employees and volunteers from and against all <br /> claims, damages, losses and expenses including attorney fees arising out of the <br /> performance of its obligations, caused in whole or in part by the willful misconduct or any <br /> negligent act or omission of LIBRE or the Legal Aid Society of San Matea County, any <br /> subcontractor, anyone directly or indirectly employed by any of them or anyone for whose <br /> acts any af them may be liable, except where caused by the active negligence, sole <br /> negligence,or willful misconduct of the CITY. <br /> ARTICLE VI <br /> COMPENSATION <br /> LIBRE will pay the CITY$18,000.00 for the services set forth above. Payment shall be made <br /> upon receipt of this MOU by the Legal Aid Society of San Mateo County on behalf of LIBRE, <br /> fully executed by the CITY and the Executive Director of Legal Aid Society of San Mateo <br /> County on behalf of LIBRE. <br /> AMENDMENT: <br /> This M�U may be amended at any time by mutual agreement of the LIBRE Collaborative <br /> and the Director of FAIR OAKS COMMUNITY CENTER. <br /> TERMINATION: <br /> This M�U and any amendments thereof shall remain in effect until superseded by a later <br /> MOU or terminated by either party by a written notice thirty(30) days prior to the effective <br /> termination date. <br /> ��� <br /> Signature Signature <br /> Robert B.
