City reserves the nght to require, at anytime, complete and certified copies of any ar ali required insurance policies and endorsements. 11.fi Primary Coveraae. For any claims related to the Senrices and this Agreement, the C4nsultant's insurance coverage will be pnmary insurance with respect#� City, its officers, agents, volunteers and employees. Any insurance ar self-insurance maintained by City for itself, its officers, agerrts, volunteers and empioyees, will be in excess of Consuitant's insurance and not contributory with it. 11.7 Reduction in CoveragetMaterial Chanqes. Consuitant wi11 notify City thirty (30} days pnor to any reduction in any of the insurance coverage required pursuant to this Agreement or any materia( changes to #he respec#ive insurance p+oliaes. 12. Business License. Cansultant wilf obtain and maintain a Ci#y of Redwood City Business License far#he term of the Agreement, as may be amended from time-to-time. 13. M�inter�ance af Records, Consultant wili maintain cnmplete and accurate records with respec# to costs incurred under this Agreement. Ali records wiil be elearty identif'�abte. Cansultan#witi altow a representative ofi City during normal business hours to examine, audit, and make transcripts ar copies of records and any other documents created pursuant to tfiis Agreement. Consultant will ailow inspection af all work, data, documents, proceedings, and activities related to the Agr�eement for a period of three (3)years from the date of frna( payment under this Agresment. 14. 4wnership af�ocuments, Ail work praduct produced by Consultant or its agents, empioyses, and subcantractors pursuant to this Agreemsnt is the properky of Gity. In the event this Agreement is terminated, ail worlc pr�duct produced by Consultant or its agents, employees and subcontractors pursuant to this Agreement will be delivered ta City pursuant to the termination clause of this Agreement. Consultant wiil have the right to make one (1)copy af the work product for Consultant`s records. 15. Copyrigh#s. Cansultant agress that all copyrights that arise from the Servtc�s will be vested in City and Consultant refinquishes aA cfaims ta the copyrtights in favpr of City. 16. Natices. The name of the persons who are authorized to giv� written notices or to receive written notice on behalf of City and on beha�f of Consultant under this Agreement.
