� ORIGI�IAL <br /> � <br /> AGREEMENT FOR PROFESSIONAL SERYtCES <br /> (Redwood City Art Center) <br /> THIS AGRE�MENT is made and entered into as of the 25�' day of Febnaary <br /> 2014, by and beiween the CITY OF REDWOOD CITY, a charter city and municipal <br /> corporation of the State of Califomia ("City"), and the Redwood City Art Center, a non- <br /> profit corporation ("Consultant" or"RCAC"}. <br /> REC�IT�A_lS <br /> A. City requires the professional services of an art cent�r to pravide artistic <br /> senrices to Redwood City residents. <br /> B. Consultant has the necessary experience in providing profess+onal <br /> services and advice. <br /> C. Selection of Consultant is expected to achieve the desired results in an <br /> expedited fashion. <br /> D. Cpnsultant has submitted a propasal to City and has affirmed its <br /> wiUingness and ability to perfprm such work. <br /> NOW, THEREFORE, in consideration of thes� recitals and the mutua( covenants <br /> contained herein, the Parties agree as follows: <br /> 1. Scope of Work. City retains Cpnsultant to perfo�rn, and Consultant agrees to <br /> render, those s�rvices (the "Se►vices") that are defined in attached Exhibit"A," which is <br /> incorpo4ated herein by reference. In the event of a conflict between the provisians of <br /> Exhibit A and the terms of this Agreement, the terms of this Agreement shall prevail. <br /> City shall have the right to modify the scope af work ta detete tasks in whoie or in part. <br /> 2. S�ndard af Performance. While performing the Services, Consultant will <br /> exercise #he reasonable profe�sional care and skill customarily exercised by reputable <br /> members of Consultant's pro#ession practic+ng in the urban Northem Califomia Area, <br /> and will use reasonable diligence and best judgment while exercising its professional <br /> skill and expertise. <br /> 3. Te,�n,. Unless earlier terminated, the term of this Agreement will be effective for a <br /> period of seven months from the date first above written. <br /> 4. Sch ule. Consultant will adhere to the schedule set forth in Exhibit "A°, <br /> provided, that City in its discretion may grant reasonable extensions a# time for the <br /> perforrnance of such services occasion�d by unusually lengthy govecnmental reviews of <br /> Consultant's work product or other unavoidable delays occasioned by circumstances; <br /> provided, further, that such unavoidable delay wi�l not inctude sb'ikes, lockouts, warlc <br /> ATTY/AGR/2�114.022/REUWOOD CITI ART CENTER <br /> REV:02-2514 MLG Page 1 af 9 <br />
