17. ronflict of interest. City will evaluate Consultant's duties pursuant to this <br /> Agreement to determine whether disclosure under the Politicat Reform Act and City's <br /> Conflict of interest Code is required of Consultant or any of Consultant's empioyees, <br /> agents, or subcontra�tors. Should it be determined that disclosure is required, <br /> Consultant or Consultant's affected employees, agents, or subcontractors will camplete <br /> and file with the City Clerk those schedules specified by City and contained in the <br /> Staternent of Ecanomic Interests Form 700. <br /> Consuitant, for Consultant and on behalf of Consultant's agents, employees, <br /> subcontractors and consultants waRants that by execution of this Agreement, that they <br /> have no interest, p <br /> resent or eontemptated, in the projects affected by this Agreement. <br /> Consultant further waRants that neither Consultant, nor Consultant's agents, <br /> emplayees, subcontractors and consultants have any ancillary real property, business <br /> interests or income that will be affected by this Agreement or, altematively, that <br /> Gonsultant will file with City an affida�vit disclosing this interest. <br /> 18. Gen�ral Compliance with Laws- Consultant will keep fully informed of federal, <br /> state and local laws and ordinances and regulations which in any manner affect those <br /> employed by Consultant, or in any way affect the performanc� of the Services by <br /> Consultant. Consultant witl at all�mes observe and comply with these laws, ordinances, <br /> and regulations and will be responsible for the comptiance of Consultant's Services with <br /> all applicable laws, ordinances and regulations. <br /> 19. Tgrmi_„_nation. �n the event of the Consultant's failure to prosecute, deliver, or <br /> perform the Sen+ices, City may terminate this Agreement for nonperformance by <br /> notifying Consuitant in writing pursuant to the notice provisions of this Agreement. <br /> !f City decides to abandon or postpone the work or services contemplated by this <br /> Agreement, City may terminate this �greement upon written notice to Cansultant <br /> pursuant to the notice provisions of this Agreement. Termination will be effecfive <br /> immediafiely upon notification. <br /> Either Party upon tendering thirly (30) days written notice to the other party may <br /> terminate this Agreement. <br /> Within 10 days of termination Consuttant will assembte the work product without charge <br /> and put it in order for proper fling and closing and deliver it to City. Consultant witl be <br /> paid for work performed up to the terminatian date; however, the total will not exceed <br /> the lump sum fee payable under this Agreement.
