, �i�iGli�Al AGREEMENT FOR CONSULTANT SERVICES (SURGE PROJECT MANAGEMEN'� THIS AGREEMENT is made and entered irrto as of the�day of • 2014, by and between the CITY OF REDWOOD CITY, a charter city and mu�icipal ration of the State of Califomia("City"�,and SURGE Project Management,a Project Management( onsultant"). R IT Ci#y requires certain consulting services. Consultant has the necessary experience in providing these professional services, has submitted a proposal to City, and has affirmed its willingness and ability to perform such work. NOW, THEREFORE, in consideration of these recitais and the mutuai covenants contained herein,the Parties agree as foNows: 1. S��e of Woric. Consultant agrees to perfwm those services(the"Senrices")that are de�ned in Exhibit "A,' attached hereto and incorporated herein by referencs. In the event of a conflict between the provisions of Exhibit"A° and the terms of this Agreement, the terms of this Agreement shall prevail.City shali have the�ight to modify the scope of wo�lc to delete tasks in whole or in part. 2. Term. Unless ea�lier termfnated, this Agreement will be effective for a period of four months from the date flrst above written. 3. Compensation. The total fee payable for the Services to be performed will be $9,900. Payment wiil be made pursuant to the terms of Exhiblt"A.' No other compensation for the Services will be allowed, except for items covered by subsequent amendments to this Agreement. City reserves the right to withhold a ten percent (10°k) retention untfl Ciry has acxepted the Services specified in Exhibit"A." There shall be no additional charge for expenses unless agreed ta by City. Payment shall occur only after receipt by City of invoic�s sufficiently detailed to inciude hourly�ates, hours worked,and tasks perfom�ed,uniess othervvise agreed to by City. 4. Status of Consultant. Consultarrt will perfonn the Services as an indapendent contractor and in pursuit of Consultant's independent calling, and not as an employee of Cf#y. Consultant wiil be under the c;ontrol of City only as to the results to be accompli�hed. 5. Indem�iflcation. Cansultant wpl defend, fndemnify end hold harmless City, snd its ofticers, agents, employees and volunteers from and agalnst all claims, demages, losses and e�cpenses inctuding attomey fees a�ising out of the performance of the Servfces, caused in whole or in part by the wiliful misconduct or any negligent act or omission of the Consultant, any subcontractor, any4ne di�ectly cx indirectly employed by any of them or anyone fo�whose acts any of them may be Ifabte, except where caused by the sole negligence or wfllful misconduct of City. The Parties eacpres�ly agree that any reasonabte payment, attomeys fee, costs ar expense City incurs or makes ta or on behalf of an inJured empioyee under the City's seif-admin(stered workers' compensatbn is included as a loss, expense or cost for the purposes of this section, and that this section wili survive the expiration or early termination of the Agreement. 6. �ns�rance• Consuftant shali abtain and maintain for the duratlon af the Agreement and any and all amendments, insuranc� against claims far Inju�ies to persons or damage to prope�ty which may arise out of or in connection with performance of the Servlces by Consultant or CansultanYs a�ents� representatives, employees or subcontractors.
