Coordinator, AmeriCorps case managers, Wellness Center staff, and other school staff <br /> to monitor all prevention programs at Sequoia High School. <br /> o Raise awareness among all Teen Resource Center Partners regarding connection <br /> befinreen AOD prevention efforts and overall youth development strategies. <br /> o Meet with SUHSD Wellness Advisory Council on issues related to AOD prevention <br /> o Organize Health Fair at Sequoia High School targeting 9th grade students, inviting AOD <br /> community partners and other agencies to deliver information to students about AOD, <br /> and assist in coordination of AOD Awareness Week and other school-wide efforts. <br /> Redwood City 2020 will work closely with the STRC to develop and sustain programs to support <br /> students in reaching their academic and social-emotional potential; assist with resource <br /> development and with design and implementation of an evaluation model to track the impact of <br /> STRC programs. <br /> 3. Fundin . The Director's yearly salary (including benefits) is $102,506 for Fiscal Year <br /> 2013-2014. SUHSD agrees to pay $52,000 of that yearly salary, leaving $50,506.00 remaining <br /> to be funded ($102,506- $52,000 = $50,506.00). Redwood City 2020 will pay to SUHSD a total <br /> fee for the Director's Services in the amount of $50,506.00 from grant funding. The maximum <br /> expenditure by Redwood City 2020 under this MOU is $50,506.00. No other compensation for <br /> the Services will be allowed, except for items covered by subsequent amendments to this <br /> Agreement. Redwood City 2020 reserves the right to withhold a ten percent (10%) retention <br /> until Redwood City 2020 has accepted the Services specified above. There shall be no <br /> additional charge for expenses unless agreed to by tne Parties. Payment shall occur only after <br /> receipt by City of invoices sufficiently detailed to include hourly rates, hours worked, and tasks <br /> performed, unless otherwise agreed to by Redwood City 2020. SUHSD will provide a detailed <br /> invoice, with evidence of progress in achieving defined deliverables when requesting payment. <br /> The contract will be paid in two installments: 1) first installment to be invoiced by March 30, <br /> 2014; 2)final installment to be invoiced by June 30, 2014. <br /> 4. Status of Director. SUHSD's Dire�tor of the STRC will perform the Services as an <br /> independent contractor or employee of SUHSD and not as an employee of City or Redwood <br /> City 2020. <br /> 5. Indemnification. SUHSD will defend, indemnify and hold harmless City and its officers, <br /> agents, employees and volunteers and Redwood City 2020 and its officers, agents, employees, <br /> and volunteers, from and against all claims, damages, losses and expenses including attorney <br /> fees arising out of the performance of the Services, caused in whole or in part by the willful <br /> misconduct or any negligent act or omission of the Director or SUHSD, any subcontractor, <br /> anyone directly or indirectly employed by any of them or anyone for whose acts any of them <br /> may be liable, except where caused by the sole negligence or willful misconduct of City or <br /> Redwood City 2020. <br /> The Parties expressly agree that any reasonable payment, attorney's fee, cost or expense City <br /> incurs or makes to or on behalf of an injured employee under the City's self-administered <br /> workers' compensation is included as a loss, expense or cost for the purposes of this section. <br /> The parties expressly agree that this section shall survive the expiration or early termination of <br /> the Agreement. <br /> REV:03-17-14 PT <br /> Page 3 of 5 <br /> ATTY/AGR.2014.037/Sequoia Teen Resource Center Director Funding 13-14 <br />
