AGREEMENT
<br /> NOW, THEREFORE, the City and the Developer (together, the "Parties"� hercby agree as
<br /> follows:
<br /> 1. PURPOSE OF AGREEMENT. The purpose of this Agreoment is to $ssure the
<br /> maintenance, periodic inspection, reFair, safe operation and, if and when necessary, r�placement of the
<br /> Improvements by the Developer at its expense in nccordance with the staiidards, including the
<br /> Maintenance Standards(defined in Section 4 below),set forth herein.
<br /> 2. IMPROVEMENTS AS A BENEFTT. The Developer agrees that the Improve�nts will
<br /> materially benefit the Property and that Developer's maintenance,repair,safe operarion and,if and when
<br /> necessaty, replacement thereof in accordance with this Agreement is necessary for approval of the
<br /> Developer's Final Map.
<br /> 3. AEVELOPER'S RESPONSIBILT�ES. Developer, at its sole expense, shall m�intain,
<br /> safely operate, periodically inspect, repair, resurface �nd, if and when necessary, tepl�ce the
<br /> Itnprovements identified in Exhibit "B", as well as perform all nccessary service on maintenance
<br /> eqnipment, in order to ensure the attractive �nd he�lthy appearance of the landscaping, the sttractive
<br /> appearance, conditi� and safety of any and all �riuctures, and the efficient opersstion of all of ttu
<br /> Improvements, including paying the electrical expense of operating the pedestrian light and irtigation
<br /> controller, said el�trical expense to be paid by the Developer upon the direct rcceipt of inv�ices for
<br /> electrical service from Pacific Gas and Ekctric, sll in �ccordance with tbe Mainfenance Standards
<br /> �scribed in Section 4 below,and industry and City standards a�pplic�ble to sirnilar img�vements.
<br /> 4. I�!�A�N�'�NANCE STANDARDS. The following standurds (collecti�ely, "M�inten�nce
<br /> Stanciards") shall be complied with by Develc�per and its mainten�nce staff, cantractars and
<br /> subcontractors in connecrion with the required maintenance of the Improvements:
<br /> �. The Improvements shall be maintained in compli�nce with the Pl�ns �nd Fina1
<br /> Map, in good condition, and in accordance with the custom and practice generally e�licable to public
<br /> rights-of-way within the City of Redwood City.
<br /> b. Landscape maintenance shall include, but not be limitod to: watering/ircigation;
<br /> fertilization;periodic trimming, mowing,and/or edging of grass and lawn areas;pnuung of trces, shrubs,
<br /> and other vegetation;trimming and shaping of trees�nd shrubs to maintain a healthy,natural appe�tance,
<br /> safe road conditions and visibility, and irrigation coverage; removal and replacement, as needed, of all
<br /> plant materials;control of weeds in all planters,shrubs,lawns,ground covers,or other planted areas;�nd
<br /> staking for support of trees.
<br /> c. Clean up maintenance sha11 include, but not be limited to: m�intenance of all
<br /> sidewallcs, paths and other paved areas in cle�n and weed-free eondition; maintenance of all such arees
<br /> cleaz af dirt,mud,trash,debris or other matter which is unsafe or unsightly;removal of�11 trash,litter and
<br /> other debris from improvements �nd landscaping prior to mowing; clearance and cleaning of all areas
<br /> maintained prior to the end of the day on which the rru�intenance operations are performed to ensure that
<br /> �.11 cuttings,weeds,leaves�nd other debris are properly disposed of by m�intenance workers.
