SUCCESSOR AGENCY'S CONSENT AND RELEASE <br /> 1. The undersigned Successor Agency ("Licensor" under the License) hereby <br /> consents to the foregoing Assignment in consideration of the foregoing agreements of <br /> Assignor("Licensee" under the License)and Assignee,without waiving its right to consent <br /> to future assignments under the terms of the License. Successor Agency's consent shall <br /> be effective when Assignor and Assignee shall have duly executed and delivered to the <br /> Successor Agency a complete and fully executed counterpart of this instrument and when <br /> the Successor Agency shall have delivered a fully executed copy of this instrument to both <br /> of said parties. <br /> 2. The Successor Agency acknowledges and agrees that Assignor shall,on the <br /> Effective Date, be released from all liability under the License with respect to the <br /> obligations of Licensee arising under the License on or after the Effective Date. <br /> 3. The Successor Agency represents and warrants that it is the successor in <br /> interest to the Redevelopment Agency of the City of Redwood City, and the Successor <br /> Agency in good faith believes it is authorized to execute this Consent as Licensor under the <br /> License. However,given the uncertainty surrounding the Successor Agency's authority as <br /> to such matters (as expressly acknowledged and agreed to by Assignor and Assignee in <br /> the foregoing Assignment), the Successor Agency expressly disclaims any representation <br /> or warranty to that effect (written or oral, or express or implied) and hereby informs <br /> Assignor and Assignee that upon direction from the Redwood City Oversight Board, the <br /> County of San Mateo or the State of California, the Successor Agency may have to <br /> terminate the License. <br /> 4. The License (including the Original License and Amendment) has not been <br /> canceled, modified, extended, supplemented, altered or amended in any respect, and <br /> contains the entire agreement befinreen Assignor and the Successor Agency with respect to <br /> the Premises. <br /> 5. To the Successor Agency's current actual knowledge, Assignor is not in <br /> default under the License as of the date provided below for the Successor Agency's <br /> signature. <br /> 6. As of the date provided below for the Successor Agency's signature, the <br /> monthly Base License Payment for the current year of the term of the License shall be <br /> $500, with increases pursuant to Section 3.1 of the License.
