SUCCESSOR AGENCY'S CONSENT AND RELEASE 1. The undersigned Successor Agency ("Licensor" under the License) hereby consents to the foregoing Assignment in consideration of the foregoing agreements of Assignor("Licensee" under the License)and Assignee,without waiving its right to consent to future assignments under the terms of the License. Successor Agency's consent shall be effective when Assignor and Assignee shall have duly executed and delivered to the Successor Agency a complete and fully executed counterpart of this instrument and when the Successor Agency shall have delivered a fully executed copy of this instrument to both of said parties. 2. The Successor Agency acknowledges and agrees that Assignor shall,on the Effective Date, be released from all liability under the License with respect to the obligations of Licensee arising under the License on or after the Effective Date. 3. The Successor Agency represents and warrants that it is the successor in interest to the Redevelopment Agency of the City of Redwood City, and the Successor Agency in good faith believes it is authorized to execute this Consent as Licensor under the License. However,given the uncertainty surrounding the Successor Agency's authority as to such matters (as expressly acknowledged and agreed to by Assignor and Assignee in the foregoing Assignment), the Successor Agency expressly disclaims any representation or warranty to that effect (written or oral, or express or implied) and hereby informs Assignor and Assignee that upon direction from the Redwood City Oversight Board, the County of San Mateo or the State of California, the Successor Agency may have to terminate the License. 4. The License (including the Original License and Amendment) has not been canceled, modified, extended, supplemented, altered or amended in any respect, and contains the entire agreement befinreen Assignor and the Successor Agency with respect to the Premises. 5. To the Successor Agency's current actual knowledge, Assignor is not in default under the License as of the date provided below for the Successor Agency's signature. 6. As of the date provided below for the Successor Agency's signature, the monthly Base License Payment for the current year of the term of the License shall be $500, with increases pursuant to Section 3.1 of the License.
