Morgan Investment Management Inc., 2029 Century Park <br /> East, Suite 4150,Los Angeles,California 90067("Assi�nor")and Teachers Insurance and Annuity <br /> Association of America, a New York corporation, for the benefit of the Real Estate Account, <br /> having an address c/o Teachers Insurance and Annuity Association of America, 560 Mission <br /> Street, l Oth Floor, San Francisco, California 94105 ("Assignee"), with reference to the following <br /> facts: <br /> A. Assignee is this day purchasing from Assignor and Assignor is conveying to Assignee <br /> the real property described in Exhibit A attached hereto (the "Propertv"). <br /> B. The Property is encumbered by that certain Stormwater Treatment Measures <br /> Maintenance Agreement recorded in the official records of San Mateo County, California on April <br /> 18, 2014 as instrument number 2014-032830 (the "Stormwater Treatment Measures Maintenance <br /> Agreement"). Assignor is the current "Property Owner" under the Stormwater Treatment <br /> Measures Maintenance Agreement and in connection with Assignee's acquisition of the Property <br /> from Assignor, Assignor is assigning to Assignee all of Assignor's right, title and interest as <br /> "Property Owner" under the Stormwater Treatment Measures Maintenance Agreement. <br /> NOW, THEREFORE, in consideration of Ten Dollars ($10.00) and other good and <br /> valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties <br /> hereto agree as follows: <br /> 1.
