Morgan Investment Management Inc., 2029 Century Park East, Suite 4150, Los <br /> Angeles, California 90067 ("Assignor") and Teachers Insurance and Annuity Association of <br /> America, a New York corporation, for the benefit of the Real Estate Account, having an address <br /> c/o Teachers Insurance and Annuity Association of America, 560 Mission Street, lOth Floor, San <br /> Francisco, California 94105 ("Assi�nee"), with reference to the following facts: <br /> A. Assignee is this day purchasing from Assignor and Assignor is conveying to Assignee <br /> the real property described in Exhibit A attached hereto (the "Propertv"). <br /> B. The Property is encumbered by that certain Agreement for Improvement of 333 Main <br /> Street recorded in the official records of San Mateo County, California on March 27, 2012 as <br /> instrument number 2012-040809 (the "Improvement Agreement"). Assignor is the current <br /> "Owner"under the Improvement Agreement and in connection with Assignee's acquisition of the <br /> Property from Assignor,Assignor is assigning to Assignee all of Assignor's right,title and interest <br /> as "Owner"under the Improvement Agreement. <br /> NOW, THEREFORE, in consideration of Ten Dollars ($10.00) and other good and <br /> valuable consideration,the receipt and sufficiency of which are hereby acknowledged,the parties <br /> hereto agree as follows: <br /> 1. Assignor hereby transfers and assigns to Assignee all right, title and interest of <br /> Assignor as"Owner"under the Improvement Agreement effective as of the date hereof. Assignee <br /> hereby accepts such transfer and assignment and assumes and agrees to perform the obligations of <br /> "Owner"under the Improvement Agreement arising from and after the date hereof. <br /> 2.
