Morgan Investment Management Inc., 2029 Century Park East, Suite 4150, Los Angeles, California 90067 ("Assignor") and Teachers Insurance and Annuity Association of America, a New York corporation, for the benefit of the Real Estate Account, having an address c/o Teachers Insurance and Annuity Association of America, 560 Mission Street, lOth Floor, San Francisco, California 94105 ("Assi�nee"), with reference to the following facts: A. Assignee is this day purchasing from Assignor and Assignor is conveying to Assignee the real property described in Exhibit A attached hereto (the "Propertv"). B. The Property is encumbered by that certain Agreement for Improvement of 333 Main Street recorded in the official records of San Mateo County, California on March 27, 2012 as instrument number 2012-040809 (the "Improvement Agreement"). Assignor is the current "Owner"under the Improvement Agreement and in connection with Assignee's acquisition of the Property from Assignor,Assignor is assigning to Assignee all of Assignor's right,title and interest as "Owner"under the Improvement Agreement. NOW, THEREFORE, in consideration of Ten Dollars ($10.00) and other good and valuable consideration,the receipt and sufficiency of which are hereby acknowledged,the parties hereto agree as follows: 1. Assignor hereby transfers and assigns to Assignee all right, title and interest of Assignor as"Owner"under the Improvement Agreement effective as of the date hereof. Assignee hereby accepts such transfer and assignment and assumes and agrees to perform the obligations of "Owner"under the Improvement Agreement arising from and after the date hereof. 2. This Assignment is made without warranty, representation, or guaranty by, or recourse against Assignor of any kind whatsoever.
