Morgan Investment Management Inc.,2029 Century Park East, Suite 4150,Los <br /> Angeles, California 90067 ("Assi�nor") and Teachers Insurance and Annuity Association of <br /> America, a New York corporation, for the benefit of the Real Estate Account, having an address <br /> c/o Teachers Insurance and Annuity Association of America, 560 Mission Street, l Oth Floor, San <br /> Francisco, California 94105 ("Assignee"), with reference to the following facts: <br /> A. Assignee is this day purchasing from Assignor and Assignor is conveying to Assignee <br /> the real property described in Exhibit A attached hereto (the "Property"). <br /> B. The Property is encumbered by that certain Landscape Maintenance Agreement (333 <br /> Main Street) recorded in the official records of San Mateo County, California on April 17, 2014, <br /> as instrument number 2014-032341 (the "Landscape Maintenance A�reement"). Assignor is the <br /> current "Developer" under the Landscape Maintenance Agreement and in connection with <br /> Assignee's acquisition of the Property from Assignor, Assignor is assigning to Assignee all of <br /> Assignor's right, title and interest as "Developer" under the Landscape Maintenance Agreement. <br /> NOW, THEREFORE, in consideration of Ten Dollars ($10.00) and other good and <br /> valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties <br /> hereto agree as follows: <br /> 1. Assignor hereby transfers and assigns to Assignee all right, title and interest of <br /> Assignor as "Developer" under the Landscape Maintenance Agreement effective as of the date <br /> hereo£ Assignee hereby accepts such transfer and assignment and assumes and agrees to perform <br /> the obligations of"Developer" under the Landscape Maintenance Agreement arising from and <br /> after the date hereof. <br /> 2.
