ORiGIN�,�. AGREEMENT FOR PROFESSIONAL SERVICES (YMCA of Silicon Vailey) THIS AGREEMENT is made and entered into as of the „�� day of �U t�� , 201�, by and between the CITY OF REDWOOD CITY, a charter city and muni�ipal corporation of the State of Califomia ("City"), and YMCA of Silicon Valley, a non-profit corporation ("Consultant" or°YMCA"). RECITALS A. City requires the professiona! services of an aquatic services consultant to provide swim lessons and aquat�c program services to Redwood City residents. B. Consuftant has the necessary experience in providing professional services and advice. C. Selection of Consultant is expected to achieve the desired results in an expedited fashion. D. Consultant has submitted a proposal to City and has affirmed its wiAingness and ability to perform such wo�4c. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Pa�ties agree as follows: 1. Scoqe of Work. City retains Consultant to perform, and Consultant agrees to render, those services (the "Services") that are defined in attached Exhibit "A," which is incorporated herein by reference. In the event of a conflict befinreen the provisions of Exhibit "A" and the terms of this Agreement, the terms of this Agreement shall prevail. City shall have the right to modify the scope of work to delete tasks in whole or in part. 2. Standard of Perf'ormance. While perform+ng the Services, Consultant will exercise the reasonable professional care and skill customarily exe�cised by reputable members of Consultant's profession practic+ng in the urban Northem Califomia Area, and will use reasonable diligence and best judgment while exercising its professional skill and expertise. 3. Term. Unless earlier terminated, the term of this Agreement will be effective from the date first written above ("Commencement Date") and shall expire on August 31, 2014, unless the parties mutually agree in writing to extend the Agreement for a period of no greater than one (1) year past the Commencement Date. 4. Schedule. Consultant will adhere to the schedule set forth in Exhibit "A", provided, that City in its discretion may grant reasonable extensions of time for the performance o#such services occasioned by unusually lengthy govemmental reviews of Consultant's worlc product or other unavoidable delays occasioned by circumstances; REV:07-25-14 MLG Page 1 of 9 ATTY/AGR.2014.139/YMCA of the Silicon Valley
