� • e <br /> ' �+�6GINAL <br /> LIVE PERFORMANCE AGREEMENT <br /> (ZopP�) <br /> This Agreement is made and entered into as of the �_day of �une , 2014, <br /> by and beiween the City of Redwood City, a charter city and municipal corporation of the <br /> state of California( "City"), and Zoppe Family, Inc., an Italian Theatrical Circus, <br /> ("Pertormersn) (collectively, the "Parties"). <br /> IN CONSIDERATION of the mutual promises set forth herein, and for other good <br /> and valuable consideration, the receipt of which is hereby acknowledged, the City hereby <br /> engages New World Classics (°Agent"), care of Kerby Lovallo as agent to Zoppe, to <br /> secure Pertormers' services under the following terms and conditions: <br /> RECITALS <br /> A. In 2008, 2009, 2010, 2011, 2012 and 2013 the Parties entered into <br /> agreements bringing Zoppe Circus pertormances to Redwood City, which have received <br /> satisfactory levels of patronage. <br /> B. The City desires to sponsor the return of Zoppe Circus to Redwood City to <br /> perform up to 30 shows in October 2014. Hosting the event provides the public benefit of <br /> bringing activity and commerce to the Redwood City area. <br /> C. The City is entitled to all ticket sale revenues, which are expected to total at <br /> least$200,000. <br /> D. The City will expend a total amount not to exceed $150,000,which includes <br /> a $115,183 payment to Pertormers, in addition to $38,300 to be expended on marketing, <br /> advertising, ticket sales, set up /tear down; clean up, purchase/rental of equipment and <br /> supplies, food and beverage concessions, and Parks and Recreation Services <br /> Department staff time. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. Pertormances. The performance, to be held in a one-ring circus tent, will star Nino <br /> the clown, with acrobatics, equestrian showmanship, canine capers, clowning, and <br /> audience participation. The dates, times, and location are described below <br /> (collectively, the "Pertormances"). <br /> 2. Place of Pertormance.
