<br /> I. PURPOSE OF AGREEMENT
<br /> THIS AGREEMENT is made on behalf of the San Mateo County Child Care Partnership Council
<br /> (CCPC),the Local Child Care Planning Council for San Mateo County,and entered into by and
<br /> between the San Mateo County Superintendent of Schools("County Superintendent")as lead
<br /> agency and fiscal designee and the City of Redwood City,a charter city and municipal corporation
<br /> of the State of California("City")for the purpose of funding costs for activities in support of the
<br /> Child Care Partnership Council.
<br /> The San Mateo County Superintendent of Schools is the lead agency and fiscal agent for the Child
<br /> Care Partnership Council. The City has been selected by the County Superintendent to receive
<br /> funds in order to provide the services detailed in the attached Scope of Work(Attachment A)in
<br /> support of the work of the Child Care Partnership Council. Funding for this agreement is
<br /> contingent upon completion of all required responsibilities(See Sections 2 and 3 below)in a
<br /> manner that is both timely and in compliance with the terms of the Agreement.
<br /> II. COUNTY SUPERINTENDENT'S RESPONSIBILITIES
<br /> It is agreed between the County Superintendent of Schools and the City as follows:
<br /> 1. Term of Agreement
<br /> The term of this Agreement shall be from July 1,2014 to June 30,2015.
<br /> 2. Payments
<br /> The County Superintendent shall issue payment to the City in an amount not to exceed thirty-
<br /> nine thousand, and seventy-eight dollars($39,078)for the Services(personnel costs$37,178
<br /> and other expenses of$1,900).Personnel costs are charged at$59.58 hourly for 624 hours
<br /> (equivalent to .3 FTE for 52 weeks).Payments will be made to City on a quarterly basis for
<br /> actual expenditures and be based upon invoices submitted to the County Superintendent by City
<br /> and in accordance with the Budget(Attachment B).Any change in this agreement will occur
<br /> only upon mutual written agreement of both Parties.
<br /> 3. Hold Harmless
<br /> The County Superintendent shall defend,indemnify, and save harmless the City,its council,
<br /> boards,commissions, officers,employees and agents,from and against any and all claims,suits,
<br /> actions liability,loss,damage,expense,cost(including,costs and fees of litigation)of every
<br /> nature,kind or description,which may be brought against,or suffered or sustained by City,its
<br /> council,boards,commissions,officers,employees or agents to the extent such claims,suits,
<br /> actions,liability,loss,damage,expense,cost(including costs and fees of litigation) of every
<br /> nature,kind or description which may be brought against,or suffered or sustained by City,its
<br /> council,boards,commissions,officers,employees or agents are caused by the negligent act or
<br /> omission,intentional tortious act or omission,or willful misconduct of County Superintendent,
