� ^ A <br /> { ����a�N�"� <br /> AGREEMENT <br /> Between <br /> SEQUOIA UNION HIGH SCHOOL <br /> DISTRICT <br /> and <br /> REDWOOD CITY 2020,AND THE CITY OF REDWOOD CTTY ACTING AS FISCAL AGENT FOR <br /> REDWOOD CITY 2020 <br /> This Agreement is entered into this 1 st day of August, 2014(the "Agreement"),by and between <br /> the SEQUOIA iJNION HIGH SCHOOL DISTRICT (the "District"), and REDWOOD CITY 2020 <br /> ("Contractor") (a collaboration comprised of eight partners, including City of Redwood, Redwood City <br /> Elementary School District, Sequoia Union High School District, County of San Mateo Health and <br /> Human Services, Sequoia Healthcare District,John W. Gardner Center for Youth and their Communities, <br /> Stanford University,Kaiser Permanente,and First 5 of San Mateo County)and the CITY OF REDWOOD <br /> Acting as Fiscal Agent for Redwood City 2020. Collectively District, Redwood City 2020, and City are <br /> hereinafter referred to as,the"Parties". <br /> In consideration of the payments hereinafter set forth, Contractor shall perform services for the <br /> District in accordance with the terms,conditions and specifications set forth herein. <br /> NOW THEREFORE,the Parties da mutually agree as follows: <br /> 1. Contractor agrees to provide administrative and counseling services. Specifically, <br /> Contractor will perform the following: <br /> a. SAFE Program - Provide administrative and counseling services in the Teen <br /> Resource Center during 2014/15 school year as determined by the SAFE 5equoia Steering <br /> Committee. <br /> 2. Contractor agrees to perform all the services in this Agreement at the rate of$10,000 per <br /> year,not to exceed$10,000 for the term of this Agreement. <br /> 3. Contractor shall submit a monthly invoice to the District for services rendered under this <br /> Agreement no later than the lOth day of the succeeding month. The invoice shall be submitted to the <br /> SAFE Coordinator, Evelyn Valencia,and shall set forth the date that services were performed,the amount <br /> of time expended by Contractor on each matter,and a specific description of the services performed. <br /> 4. It is expressly understood that Contractor is an independent contractor and no agency, <br /> employment, partnership, joint venture or other relationship is established, or is intended by this <br /> Agreement. <br /> 5. Contractor agrees to defend, save harmless, and indemnify District and its officers and <br /> employees, from any and all claims for injuries or damages to persons and/or property which arise out of <br /> the terms and conditions of this Agreement, and which result from the negligent acts or omissions of <br /> Contractor, [his/her/its]officers and/or employees. <br /> 6. Contractor agrees that, during the term of this Agreement, Contractor shall have such <br /> Bodily Injury, Liability, and Property Damage Liability Insurance as shall protect [him/her/it] while <br /> performing work covered by this Agreement from claims for damages for bodily injury, including <br /> accidental death,as well as claims for property damage which may arise from Contractor's performance of <br /> services under this Agreement. <br /> 7.
