� ^ A { ��a�N�"� AGREEMENT Between SEQUOIA UNION HIGH SCHOOL DISTRICT and REDWOOD CITY 2020,AND THE CITY OF REDWOOD CTTY ACTING AS FISCAL AGENT FOR REDWOOD CITY 2020 This Agreement is entered into this 1 st day of August, 2014(the "Agreement"),by and between the SEQUOIA iJNION HIGH SCHOOL DISTRICT (the "District"), and REDWOOD CITY 2020 ("Contractor") (a collaboration comprised of eight partners, including City of Redwood, Redwood City Elementary School District, Sequoia Union High School District, County of San Mateo Health and Human Services, Sequoia Healthcare District,John W. Gardner Center for Youth and their Communities, Stanford University,Kaiser Permanente,and First 5 of San Mateo County)and the CITY OF REDWOOD Acting as Fiscal Agent for Redwood City 2020. Collectively District, Redwood City 2020, and City are hereinafter referred to as,the"Parties". In consideration of the payments hereinafter set forth, Contractor shall perform services for the District in accordance with the terms,conditions and specifications set forth herein. NOW THEREFORE,the Parties da mutually agree as follows: 1. Contractor agrees to provide administrative and counseling services. Specifically, Contractor will perform the following: a. SAFE Program - Provide administrative and counseling services in the Teen Resource Center during 2014/15 school year as determined by the SAFE 5equoia Steering Committee. 2. Contractor agrees to perform all the services in this Agreement at the rate of$10,000 per year,not to exceed$10,000 for the term of this Agreement. 3. Contractor shall submit a monthly invoice to the District for services rendered under this Agreement no later than the lOth day of the succeeding month. The invoice shall be submitted to the SAFE Coordinator, Evelyn Valencia,and shall set forth the date that services were performed,the amount of time expended by Contractor on each matter,and a specific description of the services performed. 4. It is expressly understood that Contractor is an independent contractor and no agency, employment, partnership, joint venture or other relationship is established, or is intended by this Agreement. 5. Contractor agrees to defend, save harmless, and indemnify District and its officers and employees, from any and all claims for injuries or damages to persons and/or property which arise out of the terms and conditions of this Agreement, and which result from the negligent acts or omissions of Contractor, [his/her/its]officers and/or employees. 6. Contractor agrees that, during the term of this Agreement, Contractor shall have such Bodily Injury, Liability, and Property Damage Liability Insurance as shall protect [him/her/it] while performing work covered by this Agreement from claims for damages for bodily injury, including accidental death,as well as claims for property damage which may arise from Contractor's performance of services under this Agreement. 7. The Parties agree that, in the absence of the prior written consent of the Assistant Superintendent of Administrative Services, Contractor shall not assign or subcontract this Agreement, either in whole or in part.
