.� _ _ <br /> � ORIGINAL <br /> GENERAL SERVICES AGREEMENT <br /> (Silverado Contractors,Inc.) <br /> This Agreement is made and entered into between the City of Redwood City ("City"), a <br /> muni ipal cor o ation, and Silverado Contractors a California Corporation ("Contractor") as of <br /> (� (the "Effective Date"). In consideration of their mutual covenants, the <br /> partie er to agr e as follows: <br /> 1. Scone of Work. Subject to the terms and conditions ofthis Agreement,Contractor <br /> shall provide those services described in E�chibit A and incorporated herein by reference. In <br /> summary, the scope of services includes but it not limited to removal and demolition of the Pam <br /> Am Barge, located at the City's Docktown Marina, Redwood City. <br /> 2. Pavment <br /> 2.1. Pavment Terms. For the services described in Exhibit A, the City agrees <br /> to pay Contractor a total amount of EIGHTY TWO THOUSAND FIVE HIJNDRED <br /> DOLLARS ($82,500) which amount shall include all expenses. Contractor shall be paid <br /> at completion of the entire project. In no event shall Contractor submit any billing for an <br /> amount in excess of the m�imum amount of compensation provided for in this section. <br /> 2.2. Liquidated Dama�es. City and Contractor recognize that time is of the <br /> essence of this Agreement and it is agreed that a delay will result in damage sustained by <br /> the City, and that it is and will be impracticable and extremely difficult to ascertain and <br /> determine the actual damage which the City will sustain in the event of and by reason of <br /> such delay. <br /> Accordingly, City and Contractor agree that Contractor shall pay City Six Hundred <br /> ($600.00) for each calendar day after the deadline specified for completion of all tasks <br /> within the Scope of Work found in Exhibit A (Scope of Work). The City may deduct any <br /> accrued liquidated damages from any monies payable on account of services performed by <br /> the Contractor. <br /> Liquidated damages for delay shall only cover and be in lieu of the actual damages suffered <br /> by City as a result of delay referenced above. Liquidated damages shall not cover the cost <br /> of completion of the work, damages resulting from defective work, cost of temporary <br /> replacement facilities, damages suffered by others who then seek to recover their damages <br /> from City(for example, delay claims of other contractors or subcontractors), and defense <br /> costs thereof. <br /> 3. Term of Performance. Contractor shall not begin Work until receipt from the City <br /> of a Notice to Proceed, and shall, upon receiving notice, begin Work within the time specified in <br /> the notice. The time specified in said notice will allow a period of at least five (5) days after the <br /> date of said notice for commencement of Work. After receipt of said notice, the Contractor shall <br /> diligently prosecute the Work to completion.
