City r�quires the professional senrices af a projeGt management <br /> Cunsultant; and. <br /> B. Cansultant has the necessary experience in providing proje� <br /> management, design, bid, and c:onstruction support services and advice;and <br /> C, Seiection of Consultant is e�ecfied to ac�ieve the desired results in an <br /> expedited fashion; and <br /> D. Consultant has submitted a propasal to City and has affirmed its <br /> wtilingness and ability to perform such work. <br /> NOW, THEREFOREi tn considera#ion of these recitals and the mu#ual covenants <br /> contained herein, the Parties agree as foliows: <br /> 1. Sco�e of Work. City retains Consul#ant to perForm, and Consul�ant agrees to <br /> render, those services �the "Senrices"� that are defined in attached Exhibit°A," which is <br /> incotporated herein by reference. tn the event of a confl�c# between the provisions of <br /> Exh�bit "A" and the terms of this Agreemer�t, the terms of this Agreement shalC prevail. <br /> Giiy shali have the right to madiiy the scope of work to delete tasks in whole or in part. <br /> 2. S#anciand of Performance. While perfarming the Services, Consul#,�nt will <br /> exercise the reasonable professional care and skitl cusfomarily exerased by reputable <br /> members of Cansu(tant's profession practicing in the urban Northem Califamia Area, <br /> and will use reasonable diiigence and best judgment while ex�rcising its pr�Fessional <br /> skiil and expertise. <br /> 3. Term. Unless earlier terminated, the term of this Agreement wili commence upon <br /> the date first aboue written and shail exp�re upon compietion of performance of Services <br /> hereunder by Consultant. <br /> 4. Schedule. Consuttant will �dhere to the schedule set forth in Exhibit "A", <br /> provided, that City in its discretion ma�r grant reasonable extensions of time far the <br /> performance of such senrices occasioned by unusuatly lengthy govemmental reviews of <br /> Consultant's work product or oiher unavoidable d�lays accasioned by cireumstances; <br /> provided, further, that such unavoidable delay wiii not include strikes.
