DUP�.��'` �`� �. �.ORIGi�� Agreement No.SU0617 COMMERCIAL LEASE " TH1S COMMERCIAL LEASE ("Lease") is entered into the �Q day of January, 2014 ("Effective Date"), by and between the San Mateo County Transit District, a transit district, ("Agency"}, and City of Redwood City, a municipal corporation ("Lessee"). 1. Premises. - Subject to the terms and conditions set forth herein, Agency hereby leases to Lessee, and Lessee leases from Agency, the real property and any improvements thereon located in the City of Redwood City, County of San Mateo, State of California ("Premises") which consists of JPB numbered parking 44-89, 158-181 and 251-274 located on the south end of Redwood City Sequoia Caltrain Parking lot (the "Parking Area"), all as depicted on Exhibit A, which is attached hereto and incorporated herein by this reference. 2. Effective Uate. ��vW �� `'��„� ��,� ''"'—`� Z��j�//,�. This l,ease will take cffect on lairttary--t�r, 2614 ("�ffective Uate"), and supersedes any prioi� lease existing between the partics or•their predecessors. 3. Term. (a) Month-to-Month Term. This Lease is for a term of one month ("Lease Term") from the Effective Date, and will continue on a month-to-month basis, unless terminated as provided for in Sections 3(b}or 4. (b) Termination. This Lease is terminabie by Agency immediately upon the occurrence of an event of default as provided in Section 23 below, or by either party without cause on 30 days' advance written notice to the other. 4. Termination for Transit Activities. Lessee acknowledges that it takes this Lease with the express knowledge that Agency may conduct Transit Activities on, around, under or over the Premises. Transit Activities include, but are not limited to, any activities relating to the study, design, development, construction, maintenance, operation, mapping, testing, or surveying of transportation systems (collectively "Transit Activities"). In the event Agency determines that it needs to obtain possessian of all or a portion ofthe Premises, or needs to place restrictions on Lessee's use of the Premises, Agency will give Lessee thirty (30) days notice prior to the date Lessee must vacate the Premises, a portion of the Premises or restrict the Permitted Use ("Surrender Date"). If Agency only uses a portion of the Premises, this Lease will continue in fulf force except that Rent will be reduced in proportion by such part of the Premises rendered unusable by Lessee for the conduct of its business; provided, however, that the entire Premises will be deemed unusable if the extent and nature of the transit activities substantially impairs Lessee's use of the balance of the Premises and this Lease will terminate. lf Agency requires the entire Premises or its Transit Activities substantially impairs Lessee's Permitted Use, on or before the Surrender Date, SamTrans S[andard Lease Form,Rev 5/OS ATTY/AGR/2013.244/SEQUOIA STATION lEASE AGREEMENT REV:O1-13-14 VR 5884508 I Page 2 of 21
