ORIGINAL AMENDMENT NO.1 TO AGREEMENT FOR LEGAL SERVICES (Green, de Bortnowsky & Quintanilla, LLP)) This Amendment No. 1 is entered into and effective as of the ~ay of May, 2004, amending the Agreement dated April 23, 2003 (the "Agreement") by and between the REDWOOD CITY REDEVELOPMENT AGENCY, a public body, corporate and politic, of the State of California (the "Agency"), the CITY OF REDWOOD CITY, a charter city and municipal corporation of the State of California (the "City") and GREEN, de BORTNOWSKY & QUINTANillA, llP, a professional corporation, engaged in the practice of law in Calabasas, California (herein called "Special Counsel") (collectively, the "Parties"). RECITALS WHEREAS, Special Counsel has performed the services under the Agreement to the satisfaction of the Agency and the City; and WHEREAS, the Agency continues to require Special Counsel's professional services; and WHEREAS, the Parties desire to amend the Agreement to increase the not-to- exceed amount of the Agreement by one hundred thousand dollars ($100,000.00). NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. That the Agreement is hereby amended to increase the combined total of the compensation and reimbursement costs by a not-to-exceed amount of One Hundred Thousand Dollars ($100,000.00). 2. All other provisions of the Agreement will remain in full force and effect. 3. All requisite insurance policies to be maintained by the Special Counsel pursuant to the Agreement will include coverage for this Amendment. 4. The individual executing this Amendment on behalf of Special Counsel represent and warrant that they have the legal power, right and actual authority to bind Special Counsel to the terms and conditions of this Amendment. /II /II /II Atty/Agr/GdQ Amendment No.1 051704
