THIS AGREEMENT WILL ALSO GOVERN YOUR PURCHASE AND ONGOING <br /> USE OF THOSE SERVICES. BY ACCEPTING THIS AGREEMENT,YOU AGREE TO THE TERMS OF <br /> THIS AGREEMENT. The CLIENT may not access the Services for purposes of monitoring their <br /> availability,performance or functionality,or for any other benchmarking or competitive purposes. <br /> This agreement dated for identification purposes, is made and entered into by <br /> and between the City of Redw , C , hereinafter designated as "CLIENT, and PubticStuff, INC., <br /> hereinafter designated as'PublicStufP. <br /> 1. DEFINITIONS <br /> "Aftillate" means any errtity which directly or indirectly corrtrols, is controlled by, or is under common <br /> coMrol with the subject entity."Control;for purposes of this definition, means direct or indirect owne�ship <br /> or control of more than 50%of the voting interests of the subject entity. <br /> "AppMarketplace" means the online directory of applications that interoperate with services or at any <br /> successw websites. <br /> "Maliclous Code" means vinises, wortns, time bombs; Trojan horses and other harmful or malicious <br /> code,files,scripts,agents or programs. <br /> "Purchased Servlces"means Services that CLIENT or Your Affiliates purchase under an agreemerrt. <br /> "ServEces" means the online, Web-based applicatians and platform provided by Us via <br /> www.�ublicstuff.com and PublicStuff Pro and/or other designated websites as described in the Site,that <br /> are ordered by CLIENT under an agreement, including assxiated offline components but excluding Third <br /> Party ApplicatEons. <br /> 'Thin!-Parly Appllcatlons"means online,Web-based applications and offline software products that are <br /> provided by third parties, interoperate with the Services, and are identfied as third-party applications, <br /> including but not limited to those listed on the AppExchange. <br /> "Slte"means the online Site for the Services,accessible via www.publicstuff.com and PublicStuff Pro,as <br /> updated from time to time. CLIENT acknowledges that the CLIENT has had the opportun'ity to review the <br /> Site as described in Section 2 below. <br /> "Users" means individuals who are authorized by the CLIENT to use the Services, for whom <br /> subscriptions to a Senrice have been purchased, and who have been supplied user identifications and <br /> passwords by the CLIENT (or by PubiicStuff at the CLIENTs request).
