REGITA�S A. City requires the professionai S@NICBS of an after-school sparts and literacy arg�nization to support Parks, Recreativn and Cammunity Services Department's mfssion to serve youth. B. Consultant has the necessary experience in providing professional S@NIG@S ��if� dCfVif.e. C. Sefection of Consultant �s expected to achieve the desired resuits in an expedited fashion. D. Gonsuitant has submitted a proposal ta City and has affirmed its wiliingness and ability to perform such work. N4W, THEREFt7RE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follaws: 1. Scaoe of Work. City retains Consultarrt to perform, and Gonsultant agrees tc, render, those services (the "Services") that are defined in attached Exhibit "A," which is incorporated herein by reference. In the event of a conflict between the provisians of Exhibit "A" and the terms of this Agreement, the terms of this Agreement shall prevail. City shall have the right Ea modify the scope of work to delete tasks in wh�le or in part. 2. Standard of Performance. While performing the Services, Cansultant wiU exercise the reasonabte profess'ronai care and skill customariiy exercised by reputabte members of Consuttant's profession practicing in the urban Northern Califomia Area, and will use reasonable diligence and best judgment whil� exercising its professivnal skili and expertise. 3. Term. Unless earlier terminated, the term of this Agreement will commence upon the date first above written and shall expire upon completion of performance of Services hereunder by Consultant. 4. Schedu(e.
