e �—h m�`ia � � � s �` . ��,��,,�� ._�, MASTER AGREEMENT FOR PARKING ACCESS AND REVENUE SYSTEM (PARCS) (Scheidt& Bachmann USA, Inc.) This Agreement is made and entered into between the City of Redwood City ("City"), a municipal corporation, and Scheidt & Bachmann USA, Inc., a Delaware Corporation, whose principal address is 31 North Avenue; Burlington, MA 01803 ("Contractor") as of�• Q, , 2015 (the "Effective Date�'). In consideration of their mutual covenants, the parties hereto agree as follows: 1. Scope of Work. Subject to the terms and conditions of this Agreement, Contractor shall provide the services, hardware and software described in this Agreement and the exhibits hereto. In summary, the scope of work includes but it not limited to installation of a fully integrated automated hardware and software system for controlling revenue, vehicle access, and validations commonly known as a Parking Access and Revenue Control System (PARCS) within each of two City-owned parking garages at the following locations: a. 585-space garage located at 850 Jefferson Avenue, known as the JeffersonlCentury Theatre Garage; b. 387-space garage located at 750 Marshall Street, known as the Marshall Garage. The exhibits listed below are incorporated into and made a part of this Agreement. Exhibit A Statement of Work Attachment l Project Schedule Attachment 2 Transition Plan (sample to be replar.ed hy project-specific plan) Exhibit B List of Project Deliverables and Pricing Exhibit C Warranty and Maintenance Services Terms Attachment 1 Sample Preventive Maintenance Checklist Exhibit D Software License Agreement 2. Pavment Terms. a. For the services, hardware and software described in Exhibits A through D (the "Pro'ect" , the City agrees to pay Contractor a total amount that shall not exceed �706,690.63, if the City exercises its option to include the CCTV installation work. If the option is not exercised, the City agrees to pay Contractor a total amount that shall not exceed $641,879.73. Contractar shall submit progress billings at the following Project Milestanes set out in the Project Schedule which is included as Exhibit A, Attachment t: (i) 35% upon receipt of Notice to Proceed from City (Milestone 1); (ii) 25% upon delivery of all hardware and software for both garages to City (Milestone 2); (iii} 30% upon completion of hardware and software installation at both garages (Milestone 3); (iv) 10% upon final acceptance by City of the PARCS at both garages (Milest�ne 4).
