AGREEMENT ��'C"�'�'�`�'"' <br /> Between <br /> SEQUOtA UNION HIGH SCHOOL DISTRICT <br /> and <br /> REDWOOD CITY 2020, AND THE CITY OF REDWOOD CITY ACTING AS FISCAL AGENT FOR <br /> REDWOOD CITY 2020 <br /> This Agreement is entered into this day of , 2016(the <br /> "Agreement"), by and between the SE UOIA UNION HIGH SCHOOL ISTRICT(the"District"), <br /> and REDWOOD CITY 2020 ("Contractor") (a collaboration comprised of eight partners, including <br /> City of Redwood, Redwood City Elementary School District, Sequoia Union High School District, <br /> County of San Mateo Health and Human Services, Sequoia Healthcare District,John W. Gardner <br /> Center for Youth and their Communities, Stanford University, Kaiser Permanente,and First 5 of San <br /> Mateo County)and the CITY OF REDWOOD Acting as Fiscal Agent for Redwood City 2020. <br /> Collectively District, Redwood City 2020, and City are hereinafter referred to as,the"Parties". <br /> In consideration of the payments hereinafter set forth,Contractor shall perform services for the District in <br /> accordance with the terms,conditions and specifications set forth herein. <br /> NOW THEREFORE,the Parties do mutually agree as follows: <br /> 1. Contractor agrees to provide administrative and counseling services. Specifically, contractor will <br /> perform the following: <br /> a. SAFE Program—Sequoia Teen Resource staff to provide administrative and counseling <br /> services in the Teen Resource Center during 2015/16 school year as determined by the SAFE <br /> Sequoia Steering Committee. <br /> 2. Contractor agrees to perform all the services in this Agreement at the rate of$10,000 through June <br /> 8, 2016, not to exceed$10,000 for the term of this Agreement. <br /> 3. Contractor shall submit an invoice to the District for services rendered under this Agreement no <br /> later than the l Oth day of June 2016. The invoice shall be submitted to the SAFE Coordinator, Brenda <br /> Soto, and shall set forth the date that services were performed,the amount of time expended by <br /> Contractor on each matter, and a specific description of the services performed. <br /> 4. It is expressly understood that Contractor is an independent contractor and no agency,employment, <br /> partnership,joint venture or other relationship is established, or is intended by thisAgreement. <br /> 5. Contractor agrees to defend, save harmless, and indemnify District and its officers andemployees, <br /> from any and all claims far injuries or damages to persons and/or property which arise out of the terms <br /> and conditions of this Agreement, and which result from the negligent acts or omissions of Contractor, <br /> [his/her/its] officers and/or employees. <br /> 6. Contractor agrees that, during the term of this Agreement, Contractor shall have such Bodily Injury, <br /> Liability, and Property Damage Liability Insurance as shall protect [him/her/it] while performing work <br /> covered by this Ageement from claims for damages for bodily injury, including accidental death, as well <br /> as claims for property damage which may arise from Contractor's performance of services under this <br /> Agreement. <br /> 7. The Parties agree that, in the absence of the prior written consent of the Assistant Superintendent of <br /> Administrative Services, Contractor shall not assign or subcontract this Agreement, either in whole or in <br /> part. <br />
