GOLDEN STATE FINANCE AUTHORITY <br />ANENDED AND RESTATED JOINT EXERCISE OF POWERS AGREFENT <br />(Original date July 1, 109:3 and as last amended and restated January 21, 2015) <br />"PHIS AMENDED AND RESTATr) JOINT ILXERCISE OF POWERS AGREEMENT <br />("Agreement") is entered into by anal among the counties listed on Attacluncnt I Hereof arul <br />incorporated herein by reference. All such counties are referred to Herein as "Members" with the <br />respective powers, privileges and restrictions provided hereinr. <br />A. " WHEREAS, the California Rural Home Mortgage Finance .Authority ("CRHNIFA") mas <br />created by a Joint Exercise of Powers .Agreement dated July 1, 1903 pursuant to the Joint Exercise <br />of Powers .Act (commencing with Article 1 of' Chapter 5 of Division 7 of' Title I of tine <br />Government Gale of the State. of California (the "Act"). By Resolution 2003-02, adoptee] on <br />January 15, 2003, die name of the authority was changed to CRIINIFA Homebuyers Fund. On <br />December 10, 201.1, the wune of the authority was changed to Califonnia Honne Finance <br />Aulluxily. "Ilre most reccntt anrer(lmenrt to the Joint Exercise of Powers Agreement was on <br />December 10, 2011. <br />B. WHEMLA.S, the klerribers of' Calilonnia Horne Finance Authority desire to update, <br />reaffirm, clanify and revise certain provisions of the joint powers agreement, including die renna nung <br />of the joint powers authority, as set forth herein. <br />C. WHERE AS, die Members are each empowered 1)v_ law to finance the construction, <br />acquisition, improvement and rehabilitation of real properly. <br />I). WHEREAS, by this Agreenrerrt, the I'vtcnrbers desire to create and establish a joint powers <br />authority to exercise their respective powers for the purpose of financing the construction, <br />acquisition, improvement mid rehabilitation of real property within the jurisdiction of the Authority <br />as authorized by the Act. <br />NOW. TFiERITO RE, in consideration of the rnrtrtual covenants contained herein, the Members <br />individually and collectively agree as follows: <br />1.
