Attachment C Oli~!a ~/Q~ ~~ AMENDMENT NO.1 TO EXTEND AND AMEND AGREEMENT FOR 2003 I 2004 Asphalt Concrete Materials Graniterock Company his Amendment No. 1 is entered into and effective as of th~ day of Y , 2004, extending and amending the agreeme t dated May 27, 2 03 (the "Agreement") by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and Graniterock Company, ("Supplier") (collectively, the "Parties") for (2003 / 2004 Asphalt Concrete Materials purchase. RECITALS A. The Parties desire to alter the Agreement's scope of work to extend the time for one additional year pursuant to the existing terms and conditions in the original agreement; and B. The Parties desire to extend the Agreement for a period of not to exceed one year. C. The Parties have negotiated and agreed to maintain the existing price schedule, which is attached to and incorporated in by this reference as Exhibit "A," List of Materials and Prices. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. That the Agreement, as may have been amended from time to time, is hereby extended for a period of up to one year ending on June 30, 2005, and Supplier will be paid a not to exceed amount of Three Hundred Eighty-Three Thousand Six- Hundred Eighty-one dollars and Thirty Cents ($363,681.30). 2. All other provisions of the Agreement, as may have been amended from time to time, will remain in full force and effect. 3. All requisite insurance policies to be maintained by the Supplier pursuant to the Agreement, as may have been amended from time to time, will include coverage for this Amendment. 4. The individuals executing this Amendment and the instruments referenced in it on behalf of Supplier each represent and warrant that they have the legal power, right and actual authority to bind Supplier to the terms and conditions of this Amend ment.
