ORIGINAL <br />GROUND LEASE <br />This ground lease ("Lease") is entered into this $ay of 2017, "E ective Date") by and between the <br />City of Redwood City, a California municipal torpor////anon (`Cit )and the Belmont -Redwood Shores School District, <br />a public school district in San Mateo County ("District") (collectively "Parties"). <br />RECITALS <br />A. City is the owner of certain real property located within the City of Redwood City, County of San Mateo, <br />State of California, as more particularly described in Exhibit A attached hereto ("Sandpiper Park"). <br />B. District is the owner of certain real property located within the City of Redwood City, County of San Mateo, <br />State of California, described in Exhibit B attached hereto ("Sandpiper School Property"), upon which District <br />operates Sandpiper Elementary School ("Sandpiper School"). <br />C. City and District (the "parties"), on or about June 7, 1995, entered into an Agreement for Joint Use of the <br />Sandpiper Park Site (as amended from time to time, the "Joint Use Agreement"), attached hereto as Exhibit C, <br />affecting the property identified in Exhibits A and B ("Sandpiper Joint Use Site"). Since entering into the Joint -Use <br />Agreement, the Sandpiper Joint Use Site has been jointly, beneficially, and continually used by the parties for park <br />and school purposes. <br />D. To accommodate projected growth and reduce overcrowding, District wishes to expand Sandpiper School by <br />constructing at its expense and operating a new District -owned classroom building ("New Classroom Building") on a <br />certain portion of City -owned real property located within the Sandpiper Joint Use Site, as more particularly described <br />and shown in Exhibit D attached hereto (the "Premises"). Upon completion of the New Classroom Building, it is <br />projected that Sandpiper School will serve a total of approximately 786 K-8 District students, a significant proportion <br />of whom will be residents of Redwood City who reside near Sandpiper School. <br />E. City wishes to make the Premises available to District, through a long-term ground lease, for purposes of <br />constructing and operating the New Classroom Building. In partial consideration for District's use of the Premises, <br />City wishes to obtain certain amendments to the Joint Use Agreement, as more particularly set forth in a separately <br />executed Amendment to the Joint Use Agreement, and certain improvements to the Sandpiper Joint Use Site, as more <br />particularly set forth in this Lease at sections 9.2(a) -9.2(c) (collectively "Additional Site Improvements"). <br />F. The Parties, through their respective governing bodies authorized to enter into this Lease, have determined <br />that: (1) the Lease of the Premises will provide substantial public benefit to District and City respectively, such public <br />benefit greatly exceeding the benefit from sale of the Premises; and (2) this Lease will complement and not interfere <br />with the use or development of other areas of the Sandpiper Joint Use Site. <br />follows: <br />NOW, THEREFORE, in consideration of the terms, conditions, and covenants herein, the Parties agree as <br />AGREEMENT <br />SECTION 1. LEASE OF PREMISES <br />City hereby leases and demises to District, and District hereby leases and hires from City, the Premises, as depicted <br />on Exhibit D to this Lease, for the District's Use, as generally described in Section 4 of this Lease. <br />SECTION 2. TERM <br />2.1 Term. The term of this Lease ("Term") shall commence ("Term Commencement Date") on the date the <br />plans and specifications for the New Classroom Building are approved pursuant to California Education Code sections <br />17280 to 17316, inclusive, and shall expire at 11:59 p.m. on the last day of the month in which the 55'h anniversary of <br />ATTY/AGR/2017.041/GROUND LEASE —SANDPIPER <br />REV: 02-27-17 JS <br />Page 1 of 33 <br />
