COPY <br />RESOLUTION NO. P- 2346 <br />RESOLUTION APPROVING SUBLEASE AGREEMENT <br />(Seaport Refining & Environmental, LLC) <br />(Seaport Environmental, LLC - subtenant) <br />Whereas, Seaport Refining & Environmental, LLC ("Tenant"), a tenant at the Port <br />of Redwood City (the "Port"), has requested that the Port give its consent to the <br />subleasing by Tenant to Seaport Environmental, LLC, a Delaware Limited Liability <br />Company ("Subtenant") of a portion of the premises known as 679 Seaport Blvd., <br />Redwood City, CA 94063 (the Premises); and <br />Whereas, there has been presented to the Port, a sublease agreement (the <br />"Sublease") by and between Tenant and Subtenant entitled "Sublease - Seaport <br />Refining & Environmental, LLC'; and <br />Whereas, a copy of a map showing the approximate location of the area <br />described in the Sublease (the "Subleased Premises") is attached hereto and marked <br />Attachment A; and <br />Whereas, this Board of Port Commissioner has reviewed the pertinent documents <br />necessary to approve or disapprove the subleasing of the Subleased Premises. <br />NOW THEREFORE, <br />BE IT RESOLVED BY THE BOARD OF PORT COMMISSIONERS OF THE CITY OF <br />REDWOOD CITY, AS FOLLOWS: <br />1. That subleasing of the Subleased Premises by Tenant to Subtenant is hereby <br />approved on the terms and conditions set forth in the Sublease. <br />2. That certain agreement entitled, "Sublease -Seaport Refining & <br />Environmental, LLC," a copy of which document is on file in the office of the <br />Reso247 <br />Seaport Refining — sublease <br />fxs <br />r�� <br />
