ORIGINAL AMENDMENT NO.2 TO AMEND AGREEMENT FOR PROFESSIONAL PLANNING AND REDEVELOPMENT CONSULTING SERVICES (KEYSER MARSTON ASSOCIATES, INC.) This Amendment No.2 is entered into and effective as of the J~y of October, 2004, amending the Agreement dated July 8, 1999 (the "Agreement") by and between the REDEVELOPMENT AGENCY OF THE CITY OF REDWOOD CITY, a. public body, corporate and politic, duly organized and existing under the laws of the State of California (the "Agency"), and KEYSER MARSTON ASSOCIATES, INC. ("Contractor") (collectively the "Parties") for professional planning and redevelopment consulting services. RECITALS WHEREAS, Contractor has performed the services under the Agreement to the satisfaction of the Agency; and WHEREAS, the Agency continues to require Contractor's professional services; and WHEREAS, the Parties desire to amend the Agreement to increase the not-to- exceed amount of the Agreement by One Hundred Thousand Dollars ($100,000.00). NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1 . That the Agreement is hereby amended to increase the combined total of the compensation and reimbursement costs by a not-to-exceed amount of One Hundred Thousand Dollars ($100,000.00). 2. All other provisions of the Agreement will remain in full force and effect. 3. All requisite insurance policies to be maintained by the Contractor pursuant to the Agreement will include coverage for this Amendment. 4. The individuals executing this Amendment on behalf of Contractor represent and warrant that they have the legal power, right and actual authority to bind Contractor to the terms and conditions of this Amendment. 1/1 III III Atty/Agr/KeyserAmend2 090904 1
