ORIGINAL <br />AGREEMENTFOR VEHICLE MAINTENANCE SERVICES <br />THIS AGREEMENT is entered into as of the 1st day of July, 2017, by and between the <br />TOWN OF ATHERTON, a municipal corporation ("Town"), and THE CITY OF REDWOOD <br />CITY, a municipal corporation ("Redwood City"). <br />RECITALS <br />WHEREAS, Redwood City operates and maintains a motor vehicle maintenance facility <br />located at Redwood City's Municipal Services Center; and <br />WHEREAS, Town desires to obtain maintenance services necessary to perform the <br />routine periodic maintenance for Atherton motor vehicles in accordance with standard motor <br />vehicle maintenance schedules for the manufacture or type of such vehicles; and <br />WHEREAS, motor vehicles includes automobiles, pickup trucks, heavy duty trucks and <br />similar such vehicles owned by the Town of Atherton for municipal purposes; and <br />WHEREAS, Redwood City is willing to provide such services under the terms and <br />conditions provided in this Agreement. <br />AGREEMENT <br />NOW, THEREFORE, in consideration of their mutual covenants, the parties agree as <br />follows: <br />1. Incomoration of Recitals. The recitals set forth above, and all defined terms set <br />forth in such recitals and in the introductory paragraph preceding the recitals, are hereby <br />incorporated into this Agreement as if fully set forth herein. <br />2. Term. This Agreement shall commence upon its execution and shall continue in <br />full force and effect until June 30, 2018, unless terminated as provided herein. <br />3. Standard of Oualitv. All work performed by Redwood City under this Agreement <br />shall be in accordance with all applicable legal requirements. Redwood City shall furnish Town's <br />City Manager, or his/her designee, with every reasonable opportunity for Town to ascertain that <br />the Services of Redwood City are being performed in accordance with the requirements and <br />intentions of this Agreement. <br />4. Redwood Citv's Services. Redwood City shall perform the services set forth in <br />Exhibit A-1, attached hereto and incorporated herein by reference ("Services"). <br />Services provided to Town listed on Exhibit A-1 include the right to store property on Redwood <br />City premises, the risk of loss or damage to the property shall be borne entirely by Redwood <br />City. <br />REV: 06-02-17 VR <br />Page 1 of 7 <br />ATTY/AGR.2017.128/Town of Atherton <br />
