ORIGINAL AGREEMENT FOR SERVICE BETWEEN THE REDWOOD CITY SCHOOL DISTRICT AND City of Redwood City "Contractor" This agreement is made as of this day of by and between the Redwood City School District ("RCSD") and City of Redwood City ("CONTRACTOR") to provide services. NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS: 1. SERVICES: In consideration of the payments hereinafter set forth, CONTRACTOR shall perform services for RCSD in accordance with the terms, conditions and specifications set forth herein: The CONTRACTOR agrees to provide services for the PE+ Program at Hawes, Selby Lane, Garfield, Henry Ford and Adelante Schools: in association with the Sequoia Healthcare District grant for the 2017-2018 school year. These five schools and RCSD are contributing to the PE+ program as part of the MOU with the Sequoia Healthcare District. A. Scope of Services: Increase physical activity during the school day, along with positive and consistent health messages. B. Deliverables: City will conduct programming at the 5 schools listed above during the 2017-2018 academic year. • 150 days of PE+ "full program" implementation that includes PE curriculum instruction two days per week for each class grades K-S by up to four total coaches (two coaches per class) and recess/lunch support five days per week with a minimum of 2 coaches. The "full program" 1 curriculum instruction ends • 30 days of "recess/lunch only" provided first two weeks of school, and two weeks following the end of the "full program". Remaining weeks upon agreement between each school and PRCS. Implementation by a minimum of 2 coaches. 2. TERM OF AGREEMNT: The term of this agreement is July 1, 2017 through June 20, 2018. 3. COMPENSATION : The CONTRACTOR agrees to perform all the services of this agreement for an amount not to exceed: One Hundred Four Thousand Six Hundred Fourteen Dollars ($104,614.00) 4. PAYMENT: The CONTRACTOR shall submit an invoice detailing the services performed during the billing period at the end of each month. The contractor is responsible to comply with all state and federal tax requirements and is the CONTRACTOR'S sole responsibility. 5. EQUIPMENT AND MATERIALS: CONTRACTOR shall provide all equipment, materials, and supplies necessary for the performance of the Agreement. 6. USE OF SUBCONTRACTORS: CONTRACTOR shall not assign this Agreement or any portion thereof to a third party without the prior written consent of RCSD. - 7. LICENSES AND PERMITS: It shall be the CONTRACTOR'S responsibility to obtain and keep in force any license, permit or approval required from any agency for work/services or forfeit any right to compensation under this Agreement. 8. COMPLIANCE WITH STATE, FEDERAL AND LOCAL LAWS, REGULATIONS AND ORDINANCES: CONTRACTOR and all subcontractors shall ensure compliance with all state, federal and local laws or rules applicable to ATTY/AGR/2017.177/REDWOOD CITY SCHOOL DISTRICT REV: 08-17-17 RL Page 1 of 4
