<br />ORIGINAL <br /> <br />AGREEMENT FOR BAY SPAN SERVICES <br /> <br />THIS AGREEMENT is made and entered into as of the d q<A day of <br />rr bh-¡ 0 ,2005, by and between the CITY OF REDWOOD CITY, a charter <br />city a~lpal corporation of the State of California ("City"), and Bay Span, Inc., a <br />Corporation ("Bay Span") (collectively, the "Parties"). <br /> <br />RECITALS <br /> <br />A. <br /> <br />City requires the services of a Bay Span for temporary labor. <br /> <br />B. Bay Span has the necessary experience in providing temporary labor and <br />administrative management for temporary workers. <br /> <br />C. Selection of Bay Span is expected to achieve the desired results of filling <br />City's need of temporary labor. <br /> <br />D. Bay Span has submitted a proposal to City and has affirmed its <br />willingness and ability to provide temporary labor. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. Scope of Work. City retains Bay Span to provide those resources (the <br />"temporary labor") that are defined in attached Exhibit "A," which is incorporated by this <br />reference in accordance with this Agreement's terms and conditions. <br /> <br />2. Standard of Performance. While providing the temporary labor, Bay Span will <br />exercise the reasonable professional care and skill customarily exercised by reputable <br />members of Bay Span's profession providing temporary labor in the Metropolitan <br />Northern California Area, and will use reasonable diligence and best judgment while <br />selecting its employees for temporary labor. <br /> <br />3. Term. Unless earlier terminated, the term of this Agreement will be effective for <br />the period from the date first written above through June 30, 2005. The City Manager <br />may amend the Agreement to extend it for one (1) year in an amount not to exceed <br />Sixty thousand dollars ($60,000) per Agreement year. The extension will be based upon <br />a satisfactory review of Bay Span's performance, City needs, and appropriation of funds <br />by the City Council. The parties will prepare a written amendment indicating the <br />effective date and length of the extended Agreement. <br /> <br />4. Schedule. Bay Span will provide temporary labor based on the rate schedule set <br />forth in Exhibit "A" hereof, attached hereto and by this reference incorporated herein. <br /> <br />Bay Span acknowledges the importance to City of City's temporary labor needs and <br /> <br />Agreement over $10K <br />City Attorney Approved Version 111803 <br /> <br />1 <br />
