<br />This Memorandum of Lease is made as of May 15, 1989,

<br />Ports ide (Phase I)" (the "Lease"), which was made and entered

<br />into as of October 26, 1988, that real property located in the

<br />City of Redwood City, County of San Mateo, California, described

<br />on Exhibit "A" attached hereto and by this reference incorporated

<br />herein.
