<br />RAILROAD CONSTRUCTION AND MAINTENANCE AGREEMENT <br /> <br />JEFFERSON AVENUE GRADE SEPARATION PROJECT <br /> <br />This Railroad Construction and Maintenance Agreement (the <br />"Agreement") is entered into this lJ Ii? day of MA T ' 1998 <br />by and among the peninsula Corridor Joint Powers Board, a public <br /> <br />agency ("JPB") , the San Mateo County Transit District, a public <br /> <br />agency ("SAMTRANS") and the City of Redwood City, a municipal <br /> <br />corporation ("City"). <br /> <br />The JPB and SAMTRANS are collectively <br /> <br />referred to herein as the "Railroad." <br /> <br />RECITALS <br /> <br />A. <br /> <br />The City desires to construct a grade separation by <br /> <br />means of an underpass (hereinafter referred to as "Structure") <br /> <br />upon certain property of Railroad at Jefferson Avenue in the City <br /> <br />of Redwood City, County of San Mateo, State of California, in the <br /> <br />vicinity of Milepost 25.6). <br /> <br />For purposes of this Agreement, the <br /> <br />term "Structure" shall also include the railroad bridge, the <br /> <br />roadway underpass, all necessary changes to telephone, telegraph, <br /> <br />signal, electrical lines and appurtenances, relocation of all <br /> <br />other utilities and pipelines of any kind, all temporary and <br /> <br />permanent track work if necessary, grading, drainage, access <br /> <br />roadways to railroad right-of-way, station improvements, culvert <br /> <br />reconstruction, right-of-way or easement acquisition, preliminary <br /> <br />and construction engineering, and any and/or all other work of <br /> <br />every kind and character necessary to build the Structure. <br /> <br />217831.2 <br /> <br />""-'-----.--Y--.. <br />
