ORIGINAL <br />DESIGN PROFESSIONAL AGREEMENT <br />(ELS Architecture and Urban Design) r{� <br />THIS AGREE ENT (the "Agreement') is made and entered into as of the 14 _ <br />day of 2011, by and the CITY OF REDWOOD CITY, a charter <br />city and municipal corporation of the State of California, and the YMCA of Silicon Valley, <br />a California nonprofit corporation, (together, for purposes of this Agreement, the <br />"Client," or if separately referenced, "City" and/or "YMCA") and ELS Architecture and <br />Urban Design, a California corporation ("Consultant'). Client and Consultant are <br />sometimes referred to in this Agreement as a "Party" and collectively as the "Parties." <br />RECITALS <br />A. The City of Redwood City ("City) currently owns and operates the <br />Veterans Memorial Senior Center, the Herkner Pool, and the Senior Center Annex <br />within the Red Morton Community Park, located at 1120 Roosevelt Avenue in the City <br />(the "Park"). The Veterans Memorial Senior Center was built in or about 1955 and is <br />nearing the end of its useful life. <br />B. The YMCA currently operates a facility at 1445 Hudson Street in the City, <br />which is approximately 0.65 miles east of the Veterans Memorial Senior Center at the <br />Park. The YMCA desires to relocate to a larger facility. <br />C. City and YMCA entered into a Letter of Intent approved by the Redwood <br />City Council and YMCA Board of Directors on January 7, 2015, to jointly re -develop a <br />portion of the Park with a Veterans Memorial Senior Center/YMCA Facility ("Project') <br />on a 5.4 -acre site within the Park, located at 1455 Madison Avenue ("Project Site"). City <br />and YMCA entered into an Exclusive Negotiating Agreement on July 22, 2016, to work <br />in good faith to establish the details related to and associated with joint development of <br />the Project. <br />D. The Project consists of the demolition of existing buildings (including the <br />Veterans Memorial Senior Center, Herkner Memorial Pool, and the Senior Center <br />Annex) and surface parking lots at the Project Site and construction of a joint -use, inter- <br />generational health, wellness and recreational facility. The new facilities will include a <br />new Veterans Memorial Senior Center and YMCA building including an aquatic facility, <br />and common areas, including but not limited to parking. <br />E. Client intends for the Project to expand and strengthen the quality of life in <br />the City, leverage the strengths and assets of City and YMCA, enhance volunteer <br />efforts, provide multi -generational experiences, and inspire healthy, active living. <br />F.
