<br />DES:ð~~ 10/16/96 (003/72) <br />DES:(. ~ 10/17/96R <br /> <br />ORIGINAL <br /> <br />A G R E E MEN T <br /> <br />--------- <br /> <br />PROFESSIONAL CONSULTING SERVICES - FINANCIAL ADVISOR <br />FOR REFINANCING 1991 SERIES B BONDS <br /> <br />THIS AGREEMENT, madb~nd entered into this ;) cr-{t..., day of <br />J~ ' 199¡~ and between the ~DEVELO~ENT AGENCY <br />OF THE CITY OF REDWOOD CITY, a redevelopment agency of the State <br /> <br />of <br /> <br />California, <br /> <br />("Agency") , <br /> <br />and <br /> <br />KATZ <br /> <br />HOLLIS, <br /> <br />of <br /> <br />Los <br /> <br />Angeles, <br /> <br />California ("Consultant"); <br /> <br />WIT N E SSE T H : <br /> <br />WHEREAS, Agency proposes to refinance the 1991 Local Agency <br /> <br />Revenue <br /> <br />Bonds, <br /> <br />Series <br /> <br />B <br /> <br />tax <br /> <br />allocation <br /> <br />bonds <br /> <br />("Bonds" ) <br /> <br />for <br /> <br />Redevelopment Project Area #2 (the "Project"); and <br /> <br />WHEREAS, <br /> <br />Agency <br /> <br />desires <br /> <br />to <br /> <br />engage <br /> <br />Consultant <br /> <br />t.o <br /> <br />render <br /> <br />certain technical advice and assistance on financial matters in <br /> <br />connection with the Project; and <br /> <br />WHEREAS, <br /> <br />Consultant <br /> <br />represents <br /> <br />that <br /> <br />it <br /> <br />possesses <br /> <br />the <br /> <br />experience, and is qualified, to perform the aforesaid services <br /> <br />required for the Project; <br /> <br />NOW, THEREFORE, the parties agree as follows: <br /> <br />1. <br /> <br />CONSULTANT'S SERVICES. <br /> <br />Consultant shall perform all of <br /> <br />those <br /> <br />certain <br /> <br />services <br /> <br />described <br /> <br />in <br /> <br />Consultant's <br /> <br />Scope <br /> <br />of <br /> <br />Services marked Exhibit "A" hereof, attached hereto and by this <br /> <br />reference incorporated herein. <br /> <br />2. <br /> <br />COMPENSATION; <br /> <br />PAYMENT. <br /> <br />Consultant's <br /> <br />entire <br /> <br />and <br /> <br />exclusive compensation for all services performed by Consultant <br />
