<br />ORIGINAL <br /> <br />AGREEMENT FOR V ACTOR/FLUSHER SERVICES <br />[CITY OF HALF MOON BAY] <br /> <br />THIS AGREEMENT is made and entered into as of the J., l~ay of <br />x&~ ,2005, by and between the City of Redwood City, a charter city <br />and m icipal corporation of the State of California ("Redwood City"), and the City of <br />Half Moon Bay, a municipal corporation of the State of California ("Half Moon Bay") <br />(collectively, the "Parties"). <br /> <br />RECITALS <br /> <br />WHEREAS, Half Moon Bay has need for the cleaning of approximately one <br />hundred ninety two (192) catch basins. <br /> <br />WHEREAS, The Public Works Department of Redwood City is able and willing to <br />provide vactor and hydro-jetting services to Half Moon Bay for this purpose. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. Scope of Work. Redwood City agrees to render, services (the "Services") that <br />are defined in the attached Exhibit "A," which is incorporated by this reference in <br />accordance with this Agreement's terms and conditions. <br /> <br />2. Term. Unless earlier terminated, the term of this Agreement will be effective from <br />August 2005 to October 2005 (the "Initial Agreement Term"). Following the Initial <br />Agreement term, upon mutual agreement of the Parties, the Redwood City Manager <br />may, by written amendment, annually renew this Agreement for additional Agreement <br />years. <br /> <br />3. Compensation. Half Moon Bay will pay Redwood City a total not to exceed sum <br />of $3,493.80 per day for the Services based on the rates contained in the attached <br />Exhibit A. Payment will be made to Redwood City on completion of the work and be <br />based on invoices submitted to Half Moon Bay by Redwood City. Upon mutual <br />agreement of the Parties, the Redwood City, City Manager may, by written amendment, <br />agree to adjust the Redwood City's hourly commitment and Redwood City's hourly rate. <br /> <br />4. Status of Redwood City. Redwood City will perform the Services in Redwood <br />City's own way as an independent contractor and in pursuit of Redwood City's <br />independent calling and not as an employee of Half Moon Bay. The persons used by <br />Redwood City to provide services under this Agreement will not be considered <br />employees of Half Moon Bay for any purpose. <br /> <br />Atty/Agr/Agr.201 <br />080304 <br />
