<br />ORIGINAL <br /> <br />AGREEMENT FOR PROFESSIONAL CONSULTING ENGINEERING SERVICES <br /> <br />(MARK THOMAS & COMPANY, INC.) <br /> <br />tI\ I I~!? . ~9.~EEMENT is made and entered into as of the J..::sI- day of <br />~, 2005, by and between the CITY OF REDWOOD CITY, a charter city <br />and municipal corporation of the State of California ("City"), and MARK THOMAS & COMPANY, <br />INC., a California corporation ("Consultant") (collectively, the "Parties"). <br /> <br />RECITALS <br /> <br />A. Consultant is the Engineer of Record for the Ralston Avenue/Marine <br />Parkway/Route 101 main interchange reconfiguration project. <br /> <br />B. Consultant's duties have included landscape design work for the Ralston <br />Avenue/Marine Parkway/Route 101 interchange reconfiguration project, and Consultant has <br />performed approximately 65% of the landscaping design work for which Consultant has been <br />fully compensated in the amount of $82,962.02. <br /> <br />C. Pursuant to the direction of Caltrans, the remainder of the landscape design work <br />for the project was deleted from Consultant's agreement as Engineer of Record. <br /> <br />D. In conformance with directions from Caltrans, pursuant to an agreement separate <br />and apart from the original agreement which retained Consultant as Engineer of Record, City <br />now requires that the remaining landscape design work for the project be completed by a <br />consulting civil engineer that is experienced in landscaping design. <br /> <br />E. Consultant has the necessary experience in providing professional services and <br />advice related to the Ralston Avenue/Marine Parkway/Route 101 Interchange Reconfiguration <br />Project. <br /> <br />F. <br />fashion. <br /> <br />Selection of Consultant is expected to achieve the desired results in an expedited <br /> <br />G. Consultant has submitted a proposal to City and has affirmed its willingness and <br />ability to perform the remainder of the landscape design work for the project. <br /> <br />E. Consultant will utilize work previously done, and complete all landscape design <br />work under this agreement with no additional compensation for work previously done. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. Scope of Work. City retains Consultant to perform, and Consultant agrees to render, <br />those services (the "Services") that are defined in attached Exhibit "A," which is incorporated by <br />this reference in accordance with this Agreement's terms and conditions. <br /> <br />2. Standard of Performance. While performing the Services, Consultant will exercise the <br />reasonable professional care and skill customarily exercised by reputable members of <br /> <br />Atty/Agr/2005.069 <br />091305 <br /> <br />1 <br />
