MEMORANDUM OF UNDERSTANDING <br />PROFESSIONAL PUBLIC RELATIONS SERVICES <br />(City of Redwood City) <br />This Memorandum of Understanding ("MOU"), is made and entered into as of this 141' <br />day of March 2018, by and between the City of Redwood City, a municipal corporation of the <br />State of California, Board of Port Commissioners ("Port"), and the City of Redwood City, a <br />municipal corporation of the State of California, Office of the City Manager ("City'); <br />WITNESSETH: <br />WHEREAS, Port requires professional public relations services; and <br />WHEREAS, City represents that it possesses the experience, and is qualified to <br />perform the aforesaid services; and <br />NOW, THEREFORE, the parties hereto agree as follows: <br />1. CONSULTANT'S SERVICES. The services shall include but not be limited to the list <br />of tasks attached hereto, marked Exhibit A, and incorporated by this reference. Said Exhibit <br />may be amended from time to time in writing approved by the Port Executive Director and the <br />City Manager or designee. <br />2. COMPENSATION; EXPENSES; PAYMENT. Port shall compensate City for all <br />services performed by City hereunder at the hourly rate of One Hundred Fifty and No/100 <br />Dollars ($150.00), not to exceed thirty (30) hours per month, and shall reimburse City for costs <br />and expenses incurred by City in connection with the services rendered on behalf of the Port. <br />Reimbursement of costs and expenses not described in Exhibit A shall be approved in <br />advance of incurring such costs and expenses by Port's Executive Director. <br />Compensation and reimbursement of costs and expenses hereunder shall be payable <br />upon monthly billing therefor by City to Port, which billing shall include an itemized statement, <br />specifying the amount of time spent, briefly describing by task and labor category or <br />1 of 5 <br />
