ORIGINAL AGREEMENT FOR VEHICLE MAINTENANCE/REPAIR SERVICES THIS AGREEMENT is entered into as of the 1st day of July, 2018, by and between the TOWN OF ATHERTON, herein called "Town," and CITY OF REDWOOD CITY, herein called "City.,, Y• RECITALS WHEREAS, Town desires to obtain maintenance/repair services necessary to perform the routine periodic maintenance and repairs for Atherton motor vehicles in accordance with standard motor vehicle maintenance schedules for the manufacture or type of such vehicles; and WHEREAS, Motor vehicles includes automobiles, pickup trucks, heavy duty trucks and similar such vehicles owned by the Town of Atherton for municipal purposes; and WHEREAS, City operates and maintains a motor vehicle maintenance facility and is willing to provide vehicle maintenance/repair services to Town, subject to the terms and conditions provided in this Agreement. AGREEMENT NOW, THEREFORE, in consideration of their mutual covenants, the parties agree as follows: 1. Incomoration of Recitals. The recitals set forth above, and all defined terms set forth in such recitals and in the introductory paragraph preceding the recitals, are hereby incorporated into this Agreement as if fully set forth herein. 2. Term. This Agreement shall commence upon its execution and shall continue in full force and effect until June 30, 2019, unless terminated as provided herein. 3. Citv's Services. City shall perform the services set forth in Exhibit A-1, attached hereto and incorporated herein by reference ("Services"). City shall provide maintenance/repair services for Town's motor vehicles on an "as needed" basis and upon request of Town who shall deliver the motor vehicles to the City for maintenance/repair services. 4. Town's Services. In consideration of City's Services and compensation to be provided to City, Town shall perform the services set forth in Exhibit A-2, attached hereto and incorporated herein by reference. A. Any records or documents required to be maintained pursuant to this Agreement shall be made available for inspection, at any time during regular business hours, upon written request by the City Attorney, City Auditor, City Manager, or a designated representative of any of these officers. 5. Additional Services.
