<br />ORIGINAL <br /> <br />AGREEMENT FOR ENVIRONMENTAL ASSESSMENT SERVICES <br />WAGSTAFF AND ASSOCIATES <br /> <br />~HIS AGREEMENT is made and entered into as of the 6/-,,1 day of <br />\.. 7¿VL.I , 2006, by and between the REDWOOD CITY <br />REDEVELOPMENT AGENCY, a public body, corporate and politic, duly organized and <br />existing under the laws of the State of California ("Agency"), and WAGSTAFF AND <br />ASSOCIATES, ("Consultant") (collectively, the "Parties"). <br /> <br />RECITALS <br /> <br />A. The Parties entered into a letter agreement dated February 17, 2006. <br />whereby Consultant would begin work on the Downtown Precise Plan Environmental <br />Impact Report for a not to exceed cost of Sixty Thousand Dollars ($60,000.00). <br /> <br />B. By entering into this Agreement, the Parties now rescind said letter <br />agreement. <br /> <br />C. Consultant shall be compensated for all work performed by said letter <br />agreement, up to and including the effective date of this Agreement, in accordance with <br />the terms and conditions set forth in this Agreement. <br /> <br />D. Agency requires the professional services of a professional environmental <br />consultant that is experienced in the preparation of environmental impact reports. <br /> <br />E. Consultant has the necessary experience in providing professional <br />services and advice related to environmental review associated with land use <br />development. <br /> <br />F. Selection of Consultant is expected to achieve the desired results in an <br />expedited fashion. <br /> <br />G. Consultant has submitted a proposal to Agency and has affirmed its <br />willingness and ability to perform such work. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. Scooe of Work. Agency retains Consultant to perform, and Consultant agrees to <br />render, those services (the "Services") that are defined in attached Exhibit "A," which is <br />incorporated by this reference in accordance with this Agreement's terms and <br />conditions. <br /> <br />2. Standard of Performance. While performing the Services, Consultant will <br />exercise the reasonable professional care and skill customarily exercised by reputable <br />members of Consultant's profession practicing in the Metropolitan Northern California <br /> <br />R-Wagstaff -248380.-Precise Plan EIR <br /> <br />1 <br />
