ORIGINAL ", AGREEMENT FOR THE PERFORMANCE OF SERVICES BY AND BETWEEN THE CITY OF REDWOOD CITY, CALIFORNIA, AND RAY MORNEAU This agreement for the performance of services ("Agreement") is made and entered into on this ¿~ day of ~~ ' 200 6 ("Effective Date"), by and between Ray Morneau, an individual, with his prin Ipal place of business located at 550 South Shoreline Blvd., Mountain View, California ("Consultant"), and the City of Redwood City, California, a chartered California municipal corporation, with its principal place of business located at 1017 Middlefield Road, Redwood City, California 94063 ("City"). City and Consultant may be referred to herein individually as a "Party" or collectively as the "Parties" or the "Parties to this Agreement" RECITALS A. City desires to secure professional arboricultural inspection services related to heritage trees on private properties as more fully described in this Agreement (the "Project"); B. Consultant represents that it, and its sub-consultants, if any, have the professional qualifications, expertise, desire and any license(s) necessary to provide the aforesaid services of the quality and type which meet the City's requirements; and, C. The Parties have specified in this Agreement the terms and conditions under which such services will be provided and paid for. Consultant and City agree as follows: AGREEMENT PROVISIONS 1. Consultant's Services City employs Consultant to perform the arboricultural inspection services ("Services") more fully described in Exhibit A entitled, "SCOPE OF SERVICES." Exhibit A is attached and incorporated by this reference. Except as otherwise specified in this Agreement, Consultant shall furnish all necessary technical and professional services, including labor, material, equipment, transportation, supervision and expertise to satisfactorily complete the work required by City at his/her own risk and expense. 2. Compensation and Payment a. City shall compensate Consultant for all services performed and materials provided by Consultant hereunder in an amount based upon Consultant's rates per hour for labor and cost per unit for materials. A copy of Consultant's rates for which services hereunder shall be performed are set forth in Consultant's fee schedule marked Exhibit "B" hereof, attached hereto and by this reference incorporated herein. b. Notwithstanding the foregoing, the combined total of compensation and reimbursement of costs payable hereunder shall not exceed the sum of Forty Thousand and No/100 Dollars ($40,000.00) unless the performance of services and/or reimbursement of costs and expenses in excess of said amounts have been approved in advance of performing such services or incurring such costs and expenses by City's City Council, evidenced by motion duly made and carried.
