ORIGINAL Agreement for HdL Services City of Redwood City AGREEMENT FOR BUSINESS LICENSE SOFTWARE AND SERVICES This Agreement is made and entered into as of the 6 day of /, A40 "'2019 (the "Agreement Date"), by and between the CITY OF REDWOOD CITY, a charter city and municipal corporation of the State of California ("CITY" or "CLIENT"), and HDL SOFTWARE LLC, a California company (HDL or HdL). WHEREAS, CITY desires to enforce its Business License Ordinance to ensure that all persons and organizations doing business within CITY are licensed; and WHEREAS, CITY desires to enforce its Transient Occupancy Tax (TOT) tracking to ensure that all businesses responsible for collecting TOT within CITY are accurately, in a timely manner, able to remit their collections online; and WHEREAS, HDL has the programs, equipment and personnel required to deliver the services referenced herein; THEREFORE, it is agreed by CITY and HDL as follows: 1. SCOPE OF SERVICES Specific services to be performed by HDL (the "Services") are as described in Exhibit A, attached hereto and incorporated by reference. Includes scope, schedule, support, and system requirements for Business License Tax, and Transit Occupancy Tax self-service reporting and payment systems. 2. COMPENSATION City agrees to compensate HDL for services under this Agreement as described in Exhibit B, attached hereto and incorporated by reference. The total amount payable to HDL under this Agreement shall not exceed Fifty Seven Thousand, Eight Hundred Dollars ($57,800). 3. TERM OF AGREEMENT The term of this Agreement shall commence on the Agreement Date and be in effect for one (1) year. 4. GENERAL TERMS AND CONDITIONS The General Terms and Conditions for this Agreement are as described in Exhibit C, attached hereto and incorporated by reference. 5. REQUIREMENTS The overall requirements of the system as defined in the original RFP are as described in Exhibit D, attached hereto and incorporated by reference, along with HdL's compliance responses. 6. DISCREPANCIES In the event of a discrepancy between any services or deliverables included in this agreement, the order of precedence that shall be adhered to is Exhibit D — Requirements, Exhibit A — Scope of Services, Exhibit C — General Terms and Conditions, and Exhibit B — Compensation.
