<br />ORIGINAL <br />AGREEMENT FOR PROFESSIONAL SERVICES BETWEEN THE CITY OF <br />REDWOOD CITY AND THE TOWN OF LOS ALTOS HILLS <br /> <br />THIS AGREEMENT is made and entered into as of the 15th day of May 2007 by and <br />between THE CITY OF REDWOOD CITY, hereinafter referred to as "RWe", and THE CITY <br />OF LOS ALTOS HillS, hereinafter referred to as "lAH". <br />RECITALS <br /> <br />This Agreement is entered into with reference to the following facts and circumstances: <br />A. That LAH desires to engage RWe to render certain Information Technology seNices <br />to LAH related to carrying on the day to day technology related operations of LAH. <br />B. That RWe is qualified to provide such seNices to LAH; and <br />e. That LAH has elected to engage the seNices of RWe upon the terms and conditions <br />as hereinafter set forth. <br /> <br />TERMS AND CONDITIONS <br /> <br />1 . Services. <br />The seNices to be performed by RWe under this Agreement shall include those <br />seNices set forth in Exhibit A, which is by this reference incorporated herein and made a part <br />hereof as though it were fully set forth herein. <br />Performance of the work specified in said Exhibit A is hereby made an obligation of <br />RWe under this Agreement, subject to any changes that may be made subsequently hereto upon <br />the mutual written agreement of said Parties. <br />Where in conflict, the terms of this Agreement supersede and prevail over any terms <br />set forth in Exhibit A. <br />2. Term of Agreement. <br />Said seNices shall commence on execution and shall continue until completion of the <br />tasks set forth in Exhibit A as described in the preceding section, or until terminated by sixty (60) <br />days prior written notice by either Party. <br />3. Compensation. <br />Payment under this Agreement shall be as per Exhibit A. <br /> <br />1 <br />
