U".l\'6 '-_ PARTIAL ASSIGNMENT AND ASSUMPTION AGREEMENT OF COOPERATIVE AGREEMENT BETWEEN THE COUNTY OF SAN MATEO AND CITY OF REDWOOD CITY This Partial Assignment and Assumption Agreement (this "Agreement") is made as of u?~ <b, 2007, by and between the CITY OF REDWOOD CITY, a chartered municipal corporation (the "City"), and REDWOOD CITY REDEVELOPMENT AGENCY, a public body corporate and politic (the "Agency"), (collectively, the "Partles"). The effective date of this Agreement shall be the date on which it is approved by both the City Council of the City and the Board of Directors of the Agency (the "Effective Date"). RECITALS A. Pursuant to a Cooperative Agreement between the County of San Mateo ("County") and the City of Redwood City ("City") for Preservation of the Historic County Courthouse Block, Removal of the South Annex, Reconstruction of the Courthouse Fal'ade and Creation of a Courthouse Plaza, and Grant of Easement and License, dated May 3, 2005, (the "Cooperative Agreement"), the County has granted and conveyed to the City an exclusive easement (the "Easement") to construct the Courthouse Square Project (the "Projecl"). A copy of the Cooperative Agreement is attached hereto as Exhibit "A" and incorporated herein by this reference. Pursuant to the Cooperative Agreement, the City is to operate, maintain and use the Easement as a public plaza. B. The Cooperative Agreement was amended on August 24, 2006 through the First Amendment to the Cooperative Agreement between the County of San Mateo and the City of Redwood City for Preservation of the Historic County Courthouse Block, Removal of the South Annex, Reconstruclion of the Courthouse Fal'ade and Creation of a Courthouse Plaza, and Grant of Easement and License ("First Amendment") to expand the Projecl to include the construction and placement of a restroom facility. C. The Project includes four available Concession Spaces located within the two Pavilions constructed at the Courthouse Square: Lease Area 1A, Lease Area 1 B, Lease Area 2A, and Lease Area 2B. The legal descriptions and plat maps for each of the Concessions Spaces are attached hereto and incorporated herein as Exhibit "B". D. Pursuant to a public bid process, vendors have applied for the occupancy of these Concession Spaces in order to sell food, beverage, andlor other retail services and products.
