<br />ORI~"" ! <br />U".l\'6 '-_ <br /> <br />PARTIAL ASSIGNMENT AND ASSUMPTION AGREEMENT OF <br />COOPERATIVE AGREEMENT BETWEEN THE COUNTY OF SAN MATEO <br />AND CITY OF REDWOOD CITY <br /> <br />This Partial Assignment and Assumption Agreement (this "Agreement") is <br />made as of u?~ <b, 2007, by and between the CITY OF REDWOOD CITY, <br />a chartered municipal corporation (the "City"), and REDWOOD CITY <br />REDEVELOPMENT AGENCY, a public body corporate and politic (the <br />"Agency"), (collectively, the "Partles"). The effective date of this Agreement shall <br />be the date on which it is approved by both the City Council of the City and the <br />Board of Directors of the Agency (the "Effective Date"). <br /> <br />RECITALS <br /> <br />A. Pursuant to a Cooperative Agreement between the County of San <br />Mateo ("County") and the City of Redwood City ("City") for Preservation of the <br />Historic County Courthouse Block, Removal of the South Annex, Reconstruction <br />of the Courthouse Fal'ade and Creation of a Courthouse Plaza, and Grant of <br />Easement and License, dated May 3, 2005, (the "Cooperative Agreement"), the <br />County has granted and conveyed to the City an exclusive easement (the <br />"Easement") to construct the Courthouse Square Project (the "Projecl"). A copy <br />of the Cooperative Agreement is attached hereto as Exhibit "A" and incorporated <br />herein by this reference. Pursuant to the Cooperative Agreement, the City is to <br />operate, maintain and use the Easement as a public plaza. <br /> <br />B. The Cooperative Agreement was amended on August 24, 2006 <br />through the First Amendment to the Cooperative Agreement between the County <br />of San Mateo and the City of Redwood City for Preservation of the Historic <br />County Courthouse Block, Removal of the South Annex, Reconstruclion of the <br />Courthouse Fal'ade and Creation of a Courthouse Plaza, and Grant of Easement <br />and License ("First Amendment") to expand the Projecl to include the <br />construction and placement of a restroom facility. <br /> <br />C. The Project includes four available Concession Spaces located <br />within the two Pavilions constructed at the Courthouse Square: Lease Area 1A, <br />Lease Area 1 B, Lease Area 2A, and Lease Area 2B. The legal descriptions and <br />plat maps for each of the Concessions Spaces are attached hereto and <br />incorporated herein as Exhibit "B". <br /> <br />D. Pursuant to a public bid process, vendors have applied for the <br />occupancy of these Concession Spaces in order to sell food, beverage, andlor <br />other retail services and products.
