ORIG~NAL AGREEMENT FOR THE PERFORMANCE OF SERVICES BY AND BETWEEN THE CITY OF REDWOOD CITY, CALIFORNIA, AND RAY MORNEAU This agreement for the performance of services ("Agreement") is made and entered into on this ~ day of ~t.I6T , 200.z ("Effective Date"), by and between Ray Morneau, an individual, with his principal place of business located at 550 South Shoreline Blvd., Mountain View, California ("Consultant"), and the City of Redwood City, California, a chartered California municipal corporation, with its principal place of business located at 1017 Middlefield Road, Redwood City, California 94063 ("City"). City and Consultant may be referred to herein individually as a "Party" or collectively as the "Parties" or the "Parties to this Agreement." RECITALS A. City desires to secure professional arboricultural inspection services related to heritage trees on private properties as more fully described in this Agreement (the "Project"); B. Consultant represents that it, and its sub-consultants, if any, have the professional qualifications, expertise, desire and any Iicense(s) necessary to provide the aforesaid services of the quality and type which meet the City's requirements; and, C. fashion. Selection of Consultant is expected to achieve the desired results in an expedited D. Consultant has submitted a proposal to City and has affirmed its willingness and ability to perform such work. E. The Parties have specified in this Agreement the terms and conditions under which such services will be provided and paid for. NOW THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: AGREEMENT PROVISIONS 1. Consultant's Services City employs Consultant to perform the arboricultural inspection services ("Services") more fully described in Exhibit A entitled, "SCOPE OF SERVICES." Exhibit A is attached and incorporated by this reference. Except as otherwise specified in this Agreement, Consultant shall furnish all necessary technical and professional services, including labor, material, equipment, transportation, supervision and expertise to satisfactorily complete the work required by City at his/her own risk and expense. 2. Compensation and Payment a. City shall compensate Consultant for all services performed and materials provided by Consultant hereunder in an amount based upon Consultant's rates per hour for labor and cost per unit for materials.
