<br />ORIG~NAL <br /> <br />AGREEMENT FOR THE PERFORMANCE OF SERVICES <br />BY AND BETWEEN THE <br />CITY OF REDWOOD CITY, CALIFORNIA, <br />AND <br />RAY MORNEAU <br /> <br />This agreement for the performance of services ("Agreement") is made and entered into <br />on this ~ day of ~t.I6T , 200.z ("Effective Date"), by and between Ray Morneau, <br />an individual, with his principal place of business located at 550 South Shoreline Blvd., <br />Mountain View, California ("Consultant"), and the City of Redwood City, California, a chartered <br />California municipal corporation, with its principal place of business located at 1017 Middlefield <br />Road, Redwood City, California 94063 ("City"). City and Consultant may be referred to herein <br />individually as a "Party" or collectively as the "Parties" or the "Parties to this Agreement." <br /> <br />RECITALS <br /> <br />A. City desires to secure professional arboricultural inspection services related to <br />heritage trees on private properties as more fully described in this Agreement (the "Project"); <br /> <br />B. Consultant represents that it, and its sub-consultants, if any, have the <br />professional qualifications, expertise, desire and any Iicense(s) necessary to provide the <br />aforesaid services of the quality and type which meet the City's requirements; and, <br /> <br />C. <br />fashion. <br /> <br />Selection of Consultant is expected to achieve the desired results in an expedited <br /> <br />D. Consultant has submitted a proposal to City and has affirmed its willingness and <br />ability to perform such work. <br /> <br />E. The Parties have specified in this Agreement the terms and conditions under <br />which such services will be provided and paid for. <br /> <br />NOW THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />AGREEMENT PROVISIONS <br /> <br />1. Consultant's Services <br /> <br />City employs Consultant to perform the arboricultural inspection services ("Services") more fully <br />described in Exhibit A entitled, "SCOPE OF SERVICES." Exhibit A is attached and incorporated <br />by this reference. Except as otherwise specified in this Agreement, Consultant shall furnish all <br />necessary technical and professional services, including labor, material, equipment, <br />transportation, supervision and expertise to satisfactorily complete the work required by City at <br />his/her own risk and expense. <br /> <br />2. Compensation and Payment <br /> <br />a. City shall compensate Consultant for all services performed and materials provided by <br />Consultant hereunder in an amount based upon Consultant's rates per hour for labor and <br />cost per unit for materials.
