ORIGINAL AGREEMENT FOR PROFESSIONAL SERVICES (Financial and Accounting Services for SBWMA) TNI$ AGREEMENT is made and entered into as of the *k day of W 2019, by and between the CITY OF REDWOOD CITY, a charter city and munii6ipal corporation of the State of California ("City"), and SOUTH BAYSIDE WASTE MANAGEMENT AUTHORITY, a joint powers authority in San Mateo County ("Authority") (collectively referred to as the "Parties" or individually as a "Party"). RECITALS A. Authority requires financial and accounting services of City's Finance division. B. City has the necessary experience and staff available to provide these services. C. This contractual agreement is intended to achieve an effective and efficient delivery of service to the benefit of both Parties. D. City has submitted a proposal to Authority and has affirmed its willingness and ability to perform such work. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Scope of Work. Authority retains City to perform, and City agrees to render, those services (the "Services") that are defined in attached Exhibit "A," which is incorporated herein by reference. In the event of a conflict between the provisions of Exhibit "A" and the terms of this Agreement, the terms of this Agreement shall prevail. 2. Standard of Performance. While performing the Services, City will exercise reasonable professional care and will use reasonable diligence and best judgment while exercising its professional skill and expertise. 3. Term. Unless earlier terminated, the term of this Agreement will commence upon the date first above written and shall expire on June 30, 2022. The City and Authority may amend the Agreement to extend it for two (2) additional periods of one (1) year in an amount not to exceed One Hundred Forty -Six Thousand Two Hundred Fifty -Nine Dollars ($146,259) for FY 2022-23 and One Hundred Fifty Thousand One Hundred Thirty -Seven Dollars ($150,137) for FY 2023-24. A one-time additional fee of Four Thousand Four Hundred Thirty Dollars ($4,430) will be charged to the Authority if there is a change from fiscal year to calendar year. Extensions will be based upon a satisfactory review of City's performance, City's ability to continue to provide services, Authority's needs, and appropriation of funds by the Authority.
